The Legal Counsel will play a key cross-functional role in supporting efforts including employment, litigation and disputes as well as supporting commercial contracting needs. This position is hybrid for those within a commutable distance to our Chicago, IL office.

Job Summary

As a Legal Counsel with Keeper, you will serve as a key advisor to the entire company, working closely with the HR, Marketing, Infosec, Compliance and Engineering teams on day to day and strategic legal matters. This is a highly collaborative role, requiring excellent legal acumen, strong communication skills, and the ability to manage multiple priorities.

Responsibilities

  • Manage and resolve employment-related legal matters, including advising HR on hiring, performance management, internal investigations and compliance with employment laws
  • Oversee litigation and dispute resolution efforts, including managing outside counsel, developing litigation strategy and resolving pre-litigation disputes
  • Coordinate and support commercial procurement by reviewing and advising on service provider engagements, agreements and compliance requirements; collaborate with procurement and business teams on process improvements
  • Advise internal stakeholders on deal structures and contribute to negotiating commercial contracts, including SaaS, partnerships, licensing and services agreements
  • Support other legal matters and strategic initiatives as assigned 
  • Collaborate with and support all internal teams to identify, mitigate, resolve and escalate cross-functional risks and disputes
  • Drive continuous improvements to Keeper's legal processes, policies and templates
  • Work closely with business stakeholders and other departments to ensure alignment between legal matters and company goals

Requirements

  • Law degree and bar membership in good standing in at least one U.S. state
  • 3+ years of experience in an in-house legal role, with experience supporting a broad range of matters, particularly employment, litigation and disputes as well as being able to support commercial contracting
  • Experience with SaaS technology, IP, partner ecosystems and privacy matters a plus
  • Proactive, analytical, interpersonal and problem-solving skills
  • Strong attention to detail, outstanding communication and critical thinking skills - able to understand and distill complex legal issues clearly and concisely
  • Strong organizational and time management skills to balance multiple priorities under tight deadlines

Third Parties:

Service providers who assist with:

  • Applicant tracking, recruitment systems and assessment providers
  • Background verification vendors (post offer)
  • Recruitment agencies (where applicable)
  • Tools to support communication, collaboration and to securely store your data

Keeper ensures that all our third parties are contractually bound to protect your personal data with adequate safeguards in place.

5. International Transfers

Your data may be accessed by Keeper entities globally as needed for the purposes of hiring and decision making. We protect any such data transfer between Keeper entities using appropriate safeguards under applicable data protection laws.

6. Security

We implement appropriate technical and organizational measures to protect your data, consistent with our industry leading security standards.

7. Retention

We keep your data for 24 months from your last application activity, then delete or anonymize it.

Exceptions:

  • You opt into our talent database for further retention by providing consent (extended retention)
  • You're hired (transfers to employee records)

8. Your Rights

You have the following rights and can contact us at the email below to exercise them:

  • Access, correct, or delete your data, subject to applicable law and retention requirements
  • Object to or restrict processing
  • Withdraw consent (where applicable)
  • Request data portability
  • Lodge a complaint with your data protection authority

If you become an employee, your rights regarding your employee record are governed by our internal Employee Privacy Notice and certain data will be retained as required under relevant laws such as employment or tax law. 

When you request access to your personal data, some information may be redacted if it includes the personal data of other individuals or information that we must protect in order to preserve their privacy rights.
