Sr. Corporate Counsel at Snap Inc.

We’re looking for an experienced corporate counsel to join Snap Inc! Working from our Santa Monica, CA headquarters, you’ll collaborate with the Corporate Legal team on a wide array of corporate matters, including securities, corporate governance, acquisitions, and investments. This is a great opportunity for a seasoned attorney to join a dynamic legal team in a company that prides itself on being smart, kind, and creative.
What you’ll do:
Review and evaluate potential acquisition and investment transactions, perform due diligence reviews, structure transactions, draft, review, and negotiate acquisition agreements, and assist with post-closing integration. We are closely involved in all aspects of the transaction, including structuring, drafting, negotiating, and integrating deals to our broader business. Attorneys need to be ready roll up their sleeves to lead the deal, even when we have outside counsel involved.
Advise on corporate finance and securities law matters, including preparing SEC filings such as registration statements, Forms 10-K, 10-Q, and 8-K, and Section 16 reports. You’ll be involved in all aspects of the public reporting process, starting from drafting reports to preparing remarks for investor calls.
Manage corporate governance and administration for Snap Inc. and its domestic and international subsidiaries, including preparing Board of Director materials and corporate resolutions, managing local filings, and administering corporate records. We’ve expanded rapidly in our short history and plan to add new offices around the world to keep up with Snap’s business goals.
Develop strong relationships across the company by collaborating with cross-functional teams, including finance, tax, stock administration, accounting, people, strategy, and engineering. We operate as one team and we can only be successful if we are all successful. Be ready to learn about new areas of the business so you can jump in to support.
Assist in creating and improving processes, agreements, and document templates. For many things that we do, there isn’t a template or form, so you’ll need to draw from your legal knowledge and experience to craft the right document or structure for Snap Inc.
Advise clients on business and legal issues and risks, company policies, and business strategy. You will wear multiple hats in the same meeting to find and implement the right solution for Snap Inc.

J.D. from an accredited university.
Membership in at least one state bar.
6+ years of experience practicing corporate law.
In-house counsel experience with a multinational corporation, preferably in technology, communications, entertainment, or similar sectors.
