Your Role at impact.com:

The Corporate Counsel is to provide legal advice on a broad range of corporate, commercial, and privacy matters. The Corporate Counsel is expected to work closely with key stakeholders across the Company, to play an important role in executing on strategic business goals and initiatives, and to provide practical legal advice to internal clients.

What You'll Do:

  • Advise on a broad range of commercial issues, including corporate governance, legal and regulatory compliance, capital raises, and business growth (international expansion, M&A, etc.)
  • Supporting corporate functions including stock administration, board prep and communications.
  • Coordinate with outside counsel, including managing services and expenses: partner when needed to handle complex legal and regulatory issues spanning a variety of topics.
  • Draft, review, and negotiate legal agreements with strategic partners, as well as draft and negotiate customer and vendor agreements.
  • Provide subject matter support for privacy, including assisting with drafting policies, procedures, templates and negotiating with clients.
  • Provide support to the Company’s other legal teams and functions as needed, including with respect to contracts and other agreements with customers, partners, and resellers.
  • Prepare, review and update, as applicable, corporate policies and regulatory compliance.
  • Perform ad-hoc legal administrative tasks as needed.

What You Have:

  • JD and admission to a state bar in the jurisdiction in which you practice in good standing (or eligibility to practice as an in-house counsel based upon your state bar qualification), with preference for New York Bar
  • 3+ years of experience at a major law firm, with in-house experience a plus
  • Experience in complex SaaS agreements and M&A transactions
  • An independent, self-motivated individual who works well under pressure with a positive, service-oriented attitude
  • Self-starter with a great work ethic and an analytical thinker with superior problem-solving and decision-making skills
  • Extremely detail-oriented and organized with prior experience having managed, structured, and negotiated legal agreements, sent and collected required signatures from relevant parties, ensuring an efficient and timely closing process
  • Ability to effectively multi-task with stellar time and project management skills; understands the importance of planning in advance to meet deadlines that include multiple review points and iterations
  • Strong communicator, both written & verbal; reliable and responsive to email and phone communications
  • Highest level of integrity and good judgment, with the ability to effectively deal with highly sensitive, confidential information
  • Strong computer skills, including a high degree of comfort using GSuite and Microsoft products

Salary Range: $125,000.00 - $138,000.00 per year, plus an additional 5% variable annual bonus contingent on Company performance and eligible to receive a Restricted Stock Unit (RSU) grant.

*This is the pay range the Company believes is equitable for this position at the time of this posting. Consistent with applicable law, compensation will be determined based on the skills, qualifications, and experience of the applicant along with the requirements of the position, and the Company reserves the right to modify this pay range at any time.
