About the Role:
CoreWeave is seeking a dynamic Senior Corporate Counsel to join our Legal team. If hired, you will work on a broad range of corporate matters, including managing foreign and domestic legal entities, director and executive governance matters, employee equity, and employment matters. You will also support corporate development, securities, and other matters. The ideal candidate will have experience scaling companies in a high-growth, tech, startup environment. You will report to the Deputy General Counsel, Corporate and you will work closely with key stakeholders, including Treasury, Tax, Finance, Accounting, People, Corporate Development and Securities.

Responsibilities:
- Lead on international governance matters, including forming and maintaining legal entities, filings, corporate restructurings, and intercompany agreements.
- Support director and officer onboarding and offboarding, prepare board resolutions, consents, minutes, materials and policies, and assist with D&O questionnaires, related party transactions, conflicts of interest and other governance matters.
- Support the Stock Administration team with the company’s equity plan, including plan design, equity awards, and foreign equity compliance.
- Support the People team with global executive compensation, equity matters, employment agreements, policies and handbooks, disputes, and other employment matters.
- Support a variety of corporate transactions in the U.S. and internationally, as needed, including M&A, joint ventures, partnerships, and financings.
- Support Securities processes, as needed.
- Help build a robust corporate compliance program, including enhancing and maintaining corporate policies, processes, and training programs with scalable frameworks.
- Conduct legal research on a variety of complex corporate governance issues.
- Work collaboratively to prioritize business objectives and support overall company success.
- Work efficiently with outside counsel, as needed.
- Support other projects, as needed.
Minimum Qualifications:
- At least 6 years of relevant corporate experience, with a focus on governance, corporate transactions, and securities.
- Substantial in-house experience at a tech startup or publicly-traded company, with relevant prior experience from a top law firm.
- Ability to be the primary in-house attorney on certain corporate projects, including handling multiple matters simultaneously.
- Strong interpersonal skills, including the ability to communicate effectively with a wide variety of people, collaborate with diverse business groups, and build interdepartmental relationships at all levels, including senior-level executives and members of the Board of Directors.
- Assertion, when appropriate, to challenge and be challenged both internally and with clients in a constructive and respectful way.
- Advanced problem solving skills to quickly digest a problem, evaluate solutions, and then empower others to deliver.
- Excellent drafting, project management, legal interpretation, and research skills.
- A commitment to professional conduct, excellence and meticulous attention to detail, sometimes under time pressure.
- Ability to balance legal risk mitigation against key business objectives and risks.
- Ability to manage outside counsel efficiently.
- J.D. degree & membership in at least one state bar (New York, New Jersey, California, Washington D.C., or Washington preferred).
The base pay and target total cash for this position range from 143,000 to 220,000 and $180,000 to $242,000, accordingly. Pay is based on a number of factors including market location and may vary depending on job-related knowledge, skills, and experience. This position includes a discretionary bonus, equity, and a comprehensive benefits package.

Our Workplace
While we prioritize a hybrid work environment, remote work may be considered for candidates located more than 30 miles from an office, based on role requirements for specialized skill sets.
