We are looking for a Senior Counsel who is detail-oriented, proactive, and a collaborative team player to join our Legal team. The ideal candidate thrives in a fast-paced, highly dynamic environment and is excited to provide strategic legal counsel, ensure compliance, and support Xsolla's business objectives. Strong analytical skills, exceptional verbal communication and drafting abilities, and deep expertise in corporate and commercial law are essential, along with experience in the gaming industry, fintech (including payment processing), digital assets, and securities law. The ability to manage multiple complex projects, adapt to evolving regulations, and provide leadership on legal matters will be key to your success in this role. Responsibilities:

  • Provide expert legal advice and guidance on a broad range of corporate, commercial, and regulatory matters, including fintech, crypto, and securitiesDraft, review, and negotiate complex contracts, including partnership, licensing, employment, and vendor agreements
  • Advise on compliance with US and international laws relevant to the gaming, finance, and technology sectors
  • Support mergers, acquisitions, and other strategic transactions
  • Advise on digital asset offerings, token structures, and blockchain-based products, including analysis of securities law implications under federal and state regulations
  • Monitor and interpret SEC, CFTC, FinCEN, and state regulatory developments affecting digital assets and payment systems
  • Collaborate with cross-functional teams to identify and mitigate legal risks
  • Develop and implement policies, procedures, and training to ensure ongoing compliance
  • Represent Xsolla in legal proceedings, regulatory inquiries, and negotiations as needed
  • Monitor changes in relevant legislation and assess impact on business operations
  • Mentor and provide guidance to junior legal team members

Qualifications & Skills:

  • Juris Doctor (JD) degree from an accredited law school; active membership in good standing with the California State Bar
  • Minimum 7 years of relevant legal experience, preferably in-house at a technology or gaming company, or at a top law firm
  • Litigation experience is strongly preferred
  • Deep knowledge of corporate, commercial, and regulatory law
  • Substantive experience advising on securities law matters, including SEC regulations, private placements, and investment company considerations
  • Demonstrated expertise in fintech, payment processing, cryptocurrency and digital asset legal frameworks
  • Experience negotiating and drafting complex commercial agreements
  • Strong business acumen and ability to balance legal risk with business objectives
  • Excellent written and verbal communication skills
  • Demonstrated ability to manage multiple priorities and work independently
  • High ethical standards and sound judgment
  • Experience with international legal matters and data privacy is a plus
  • Familiarity with AML/KYC requirements and sanctions compliance preferred
  • Strong understanding of Google Suite and Atlassian tools preferred
