The Role:

Forge Global is seeking a junior to mid-level attorney to join our Legal team supporting the company’s expanding investment management business. This role will provide legal counsel for private funds managed by Forge’s registered investment adviser and for registered investment companies, including interval funds that invest in private company shares and other illiquid assets. The ideal candidate has a strong foundation in investment management law, including the Investment Advisers Act of 1940 (“Advisers Act”) and Investment Company Act of 1940 (“Investment Company Act”), and is eager to help shape innovative fund structures that bridge the gap between private market opportunities and regulated investor access. The role offers the opportunity to work closely with business, product, compliance, and operations teams in a dynamic environment at the intersection of technology, liquidity, and alternative investing.

Location: This role requires 2-3 days a week in office: Soho, New York or San Francisco, CA 

Responsibilities:

  • Support the formation and ongoing operation of private, interval, and closed-end funds investing in private or illiquid assets.
  • Draft, review, and negotiate offering documents, investor materials, subscriptions, and side letters with with fund service providers and sub-advisers and others.
  • Collaborate with internal and external stakeholders on fund registration, offerings, and updates.
  • Advise on regulatory compliance under the Advisers Act, Investment Company Act, and related regulations.
  • Coordinate with compliance on regulatory filings (e.g., Form ADV, Form PF, N-PORT, N-CEN).
  • Track SEC rule changes and industry developments affecting private and registered funds.
  • Support transactions involving private company and secondary-market investments.
  • Review marketing and disclosure materials for regulatory accuracy and consistency.

Qualifications:

  • Juris Doctor (JD) from an accredited law school and licensed to practice law.
  • 2–6 years of experience at a law firm, financial services company, or investment adviser.
  • Demonstrated knowledge of structuring and operating private funds and/or interval funds, knowledge and understanding of the Advisers Act and Investment Company Act and regulatory considerations related to private and illiquid assets, and experience supporting registered investment advisers with alternative asset strategies.
  • Familiarity with interval funds, closed-end funds, or semi-liquid vehicles.
  • Understanding of private market valuation and liquidity mechanisms, including secondary trading platforms preferred.
  • Strong drafting, analytical, and organizational skills.
  • Ability to collaborate effectively across teams and communicate clearly with non-legal stakeholders.
  • Physical requirements: operate a computer for 8 hours per day; give and receive detailed information through verbal and written communication

For residents of San Francisco, CA the annual salary range for this role is $160K - $240K + annual bonus. Final offers may vary from the amount listed based on geography, candidate experience and expertise, bonus, and other factors.
