The Role
 

VideoAmp is seeking a highly experienced and commercially minded Senior Corporate Counsel who will serve as a trusted legal partner across the business, advising on critical commercial transactions and strategic initiatives that support our mission to transform the media measurement landscape. You will work closely with senior leadership and cross-functional teams to navigate complex legal matters, manage risks, and help scale our legal function as the company continues to grow. We are looking for an attorney who is a self-starter and embraces challenges with an innate desire to find creative and practical solutions. This is a high-impact opportunity and you will be a critical strategic business and legal partner to the company.

This role will report to the VP, Associate GC (Commercial Legal) and will join a team of several highly experienced and curious attorneys who love to solve problems. What You'll Do
 
  • Draft, negotiate, and review all types of commercial contracts, including: SaaS, partnership, data licensing, MSAs/SOWs, DPAs, consulting, confidentiality, vendor, and other business and legal agreements.
  • Support data, privacy, and product related matters by assisting with the data privacy program, advising on product development, and advising on the Company's data compliance. This role will need to develop a deep understanding of our data licenses and must be an expert at negotiating complex data partnership agreements.
  • Assist with legal operations including implementation of efficient workflows between various teams, maintenance of templates, playbooks, and decision trees, management of IronClad, building AI tools to drive efficiency, and the like. This role will be actively involved in shaping how the legal team adopts and scales AI responsibly, as well as other legal operations tools. Operations and efficiency should be a key strength.
  • Identify and assess contractual, privacy, compliance, and financial risk across a wide range of deal types, and communicate that risk clearly and concisely to business stakeholders who need to make fast decisions. The ability to offer options and a recommended path forward, instead of only flagging issues, is a critical part of this role.
  • Strong communication, organization, and time management skills are essential.
  • Anticipate and provide timely evaluation and guidance to the legal team and internal stakeholders on updates and changes in laws and regulations.
  • Develop and deliver practical legal training to Sales and cross-functional teams on contracting standards, data and privacy compliance, and AI-related legal considerations. Translating legal concepts into language that business teams can actually use is a big plus.
  • With a lean team, everyone contributes beyond their lane. This role will support the Chief Legal Officer and senior attorneys across corporate governance, HR, insurance, intellectual property, AI governance, and other general corporate matters.
 
What You'll Bring
 
  • JD from an accredited law school.
  • 6–10 years of experience working both at a law firm and in-house, preferably in technology and/or digital media companies.
  • Current member in good standing of the California or New York bar.
  • Experience in legal operations/automation, commercial transactions, privacy, data licensing, and product.
  • Strong experience in commercial sales transactions and revenue deals, preferably with a large company or firm.
  • Experience negotiating and drafting commercial transactions with large media companies (agencies, programmers, and/or distributors) and television publishers.
  • Exceptional verbal and written communication skills in interactions with customers, partners, and all levels of employees.
  • Deep understanding of contracts.
  • Knowledgeable about data privacy law and experience reviewing DPAs and data license agreements. Experience implementing data privacy programs and processes in-house and project managing privacy matters.
  • Be the state privacy knowledgeable attorney for the commercial team for general privacy related questions.
  • Ability to work well with others, curious, super-smart, passionate about what you do and fired up about the opportunity ahead for VideoAmp. We mean it when we say teamwork is critical here!
  • Developed business acumen, with ability to understand the company's business and anticipate the nature and magnitude of issues that could arise in various settings.
