This position reports to the Assistant General Counsel. The candidate will be remotely based in the US.
What You’ll Do
- Review, draft (from templates and from scratch), and negotiate a variety of commercial contracts, including (i) customer and strategic partnership/vendor agreements, (ii) business associate agreements and (iii) non-disclosure agreements. Strong preference for candidates who could independently lead these matters and negotiations shortly after joining the team.
- Provide ongoing commercial legal advice and support to the sales, product, customer success, and business development teams, which could topics like IP, AI, risk mitigation, compliance and data privacy.
- Assist with regulatory questions and matters that may arise in the course of supporting business units and/or in the course of commercial contract negotiation, such as HIPAA, data privacy and TCPA.
- If candidate has applicable experience and interest, support corporate transactional work, as needed, including M&A, and other corporate matters.
- Collaborate with internal stakeholders, including growth, product, information security, and finance.
- Integrate legal and business knowledge to provide balanced advice that clearly articulates viable options and risks with each path.
Preferred Education & Experience
- J.D. from an accredited law school and admittance to the bar, active, and in good standing in at least one state.
- At least 6 years’ experience in a law firm and/or in-house. Large law firm and/or public company experience is a plus.
- Significant commercial contracting experience.
- Strong cultural fit - world-class, humble, hard-working and continuous learner.
- Superior verbal and written communication skills (including contract drafting), including the ability to communicate concisely with clients & team members.
- Strong organizational and time management skills, with the ability and willingness to spend the time necessary to meet demanding deadlines and adjust to shifting priorities.
- A self-starter by nature with a proven track record of balancing multiple projects and recalibrating advice in view of shifting priorities, legal developments, and risk tolerance.Ability to think creatively and strategically, with both business acumen and legal skills.
- Ideal candidate would have experience in SaaS technology transactions / IP licensing and/or healthcare/healthcare IT.
Information Security and Compliance Responsibilities:
- Maintain compliance with training directives required by the organization pertaining to Information Security, Acceptable Use Policy and HIPAA Privacy and Security.
- Adhere to and comply with the organizations Acceptable Use Policy.
- Safeguard information system assets by identifying and reporting potential and actual security events to the organizations Security and Compliance Officers.
