About this role
As an M&A Associate, you will report to our Chief Legal Officer, and provide practical, business-oriented legal support across data center site and ground leasing, mergers and acquisitions, and other strategic corporate initiatives. You will work closely with internal business partners and outside counsel to help structure, negotiate, document, and execute complex data center leasing and M&A transactions from due diligence through closing and integration.
This role is remote; with the option for hybrid out of one of our main offices (Austin, Tx/Castle Rock, Co/Irvine, Ca)
What you’ll do
- Advise internal business partners on M&A transactions, data center lease negotiations, and other complex commercial matters
- Draft, review, and negotiate purchase and sale agreements, data center leases, real estate transactions, and related transaction documentation
- Conduct and coordinate legal due diligence for acquisitions, dispositions, and data center site leasing opportunities
- Coordinate with outside counsel, counterparties, and internal cross-functional stakeholders
- Support the structuring, execution, closing, and post-closing integration of acquisitions and data center leasing transactions
- Help develop efficient legal processes, transaction-management practices, and internal documentation standards for M&A and leasing deals
What you’ll bring
- Juris Doctor (JD) from an accredited law school
- Active membership in at least one U.S. state bar
- 3+ years of relevant M&A, real estate/leasing, or transactional legal experience at a law firm, in-house legal department, or both; data center or other critical infrastructure experience a plus
- Excellent drafting, analytical, written, and oral communication skills
- Strong attention to detail and sound judgment in handling confidential and sensitive matters
- Comfort and familiarity working with business and other non-legal stakeholders
- Ability to manage multiple priorities and transactions
- A collaborative team player with strong initiative and desire to grow professionally
Compensation and Benefits
- Competitive Salary: $150,000 - $190,000 (commensurate with experience) + bonus + sign-on equity grant.
