General Counsel
The General Counsel (GC) is a key strategic partner for the leadership team in growing our business across multiple teams and disciplines across the globe, while always advocating for the protection of the Company. As General Counsel, this role will oversee and advise on all legal, compliance, corporate governance, securities and exchange laws and regulations, insurance and risk management initiatives of the company while also partnering with the People Operations (HR) team on employment law & compliance and the CFO to drive the company's IPO readiness process.
The GC leads legal strategy and compliance on key business objectives including on any M&A, new sales agreements, securities listing, international expansion, entering into new leases, system tooling, company policies, corporate finance, partnerships, etc. while working directly with the leadership team in the interest of limiting risk exposure.
Responsibilities
- Legal counsel and advisement – Counsel the executive team with respect to legal implications of GumGum’s major decisions, strategies and transactions. Provide counsel and advise on legal liabilities associated with many areas of the business listed above. Keep informed of the requirements of multi-jurisdictional practice.
- Lead the Legal and Compliance Function – Attract, develop, direct, motivate and drive performance from the Legal and Compliance team at GumGum. Coach the team to provide best in class service to a rapidly changing and growing technology business.
- Legal representation on GumGum’s behalf – Coordinate and lead all outside counsel as appropriate in managing all external legal and litigation matters.
- Lead Securities law, administration and compliance - as the company prepares to go public, be the key legal resource to support securities filings, proxy statements, press and earnings releases and investor relations presentations. Assist with capital markets transactions and associated legal documentation (e.g., offering documents and registration statements). Oversee securities law administration and compliance (e.g. equity incentive plan matters, securities trading policy administration, Regulation FD, transfer agent oversight and matters with respect to other securities laws and listed exchange requirements). Participate in Disclosure Committee and other disclosure control activities as well as financial communication preparation (e.g., earnings press releases, conference calls, investor communications).
- Risk Management – Ensure appropriate insurance coverage for business operations and act as key advisor on risk management and policy implementation. Drive and develop a suitable record retention policy. Be a thought leader in Risk and Crisis Management.
- Commercial Contracts and Agreements – Lead the commercial contracts team in drafting, reviewing, negotiating and entering into all contracts on behalf of GumGum.
- Intellectual Property – Ensure protection of GumGum’s IP, including staying involved in evolutions of our business from both a technology and product side to maximize the commercial value of product investment.
- Data Security and Privacy Compliance - Oversee data security procedures in a changing industry and supporting the business during any incident response actions. Advise on day-to-day privacy and data security issues. Monitor and share legal developments in digital media and advertising across the organization.
- Employment Law and HR partnership – Partner with the VP of People Operations and team on all employment law matters including any efforts relating to benefits programs, employee relations, intellectual property and privacy obligations, data management and security and professional responsibilities.
- Business License and Registration Requirements – Ensure all operations are appropriately licensed and registered to operate within the local jurisdiction and all required certifications are displayed as required and actively managed.
Minimum Qualifications
- JD and admittance to a state bar (California/NY preferred)
- Training at a top law firm
- 15+ years of legal practice experience
- Public company experience desired
- Experience with SEC laws and regulations as well as exchange requirements
- Understanding of HR/Employment law and compliance
- Proficient experience in drafting and negotiating corporate and commercial matters such as licensing, service agreements, partnership, sales and marketing agreements, M&A, debt/equity financing and vendor agreements
- Experience with corporate governance issues and corporate secretarial duties
- Experience managing teams
- Ability to partner and influence at board and executive management level
- Superior communication skills coupled with the ability to make effective and persuasive presentations on complex topics. Skilled in executive-level presentations
- Ability to analyze complex business and ethical concerns, propose effective solutions and understand and apply business vision and direction
- Must be able to work in a fast-paced environment with demonstrated ability to coordinate multiple competing tasks and demands and work under tight deadlines
- Ability to establish and maintain effective relationships with outside counsel, third-party vendors, partners, managers, staff, and employees
- Strong cross functional collaboration across all departments of the company
