Corporate Paralegal

Team Overview:
We are seeking an ambitious individual interested in a challenging position as a Corporate Paralegal to provide internal service and support to our General Counsel as well as the executive team. You will report directly to the General Counsel.
You Aspire To:
- Collaborate with preparation of board and committee materials
- Assist with drafting minutes, resolutions, consents, governing documents, and certificates
- Prepare proxy statements and related items for the annual stockholders' meeting.
- Plan and execute all necessary entity filings as needed
- Support and manage the preparation of SEC filings, including ’34 Act filings and Section 16 reporting, including Form 3, 4 and 5
- Assist with preparing and maintaining governance-related policies and procedures
- Assist with maintenance of corporate calendarMaintain legal files in electronic filing system, as instructed, and ensure proper indexing and filing of legal documents
- Assist in the drafting, preparing, and review of legal documents (including nondisclosure agreements and the like)
- For transactional matters, prepare checklists, signature pages, closing binders and coordinating closing deliverables
- Maintain insider trading compliance program participant list
- Assist with due diligence for corporate transactions
- Assist the legal team on a variety of tasks, projects, processes and initiatives as needed
What’s Essential:
- Bachelor's degree or equivalent experience required
- Paralegal certificate preferred
- 3+ years of paralegal experience
- In-house and/or law firm corporate transactional, governance or finance experience
- Strong written and verbal communication skills
- Public company corporate governance and board, including assisting with preparation of board materials and agendas preferred
- Corporate drafting, including resolutions, consents, minutes, certificates, charters, bylaws
- Experience with Electronic board portals (Boardvantage, Diligent or similar) preferred
- Strong attention to detail and organizational skills
- Open to hybrid work schedule if located in the Pasadena, CA area OR fully remote in the Houston, TX area

- Ability to multi-task and prioritize deadlines/deliverables
- Some flexibility in your schedule – we value work/life balance but, in a pinch, a bit more time is needed
- Experience working with document management systems preferred
- Comfortable working in a fast-paced environment
