About the Role
The Associate Corporate Counsel will report to the GoodRx’s General Counsel and be an active partner in reviewing and negotiating a variety of contracts and licensing agreements. This individual will oversee compliance issues, labor law, tax work and issues around intellectual property. A major aspect of the job is to keep on top of laws that might affect the organization and industry and act as internal advisor to all teams and departments in a fast paced, high growth environment.
Responsibilities:
- Draft, review and negotiate commercial contracts, partnership contracts and licensing agreements
- Research federal and state laws and regulations and ensure compliance across the business
- Assist in due diligence review, negotiation and documentation of mergers and acquisitions and key strategic transactions, as needed
- Identify business and legal risks and issues and suggest practical alternatives that allow the business of the company to move forward in compliance with laws, rules, and regulations
- Work closely with marketing, business development, human resources and product teams serving as legal advisor on matters of significance
- Support product launches, marketing and promotional efforts, and policy initiatives in our space
Skills & Qualifications:
- 2-4 years of experience drafting and negotiating commercial contracts, partnership agreements, licensing agreements, and other agreements.
- Strong critical thinking and strategic skills demonstrating sound judgment
- Comfortable with taking ownership of projects and driving them to conclusion
- Flexibility and willingness to work on a broad range of legal matters
- Proactive in staying up to date on state and federal law and effective in partnering with teams to implement policies
- Absolute integrity and sound judgment to evaluate options fairly
- In-house commercial counsel experience ideally in consumer-facing technology and/or healthcare companies, and/or start-ups
- Experience at a top law firm is a plus
- JD degree and bar admission requires
