We are seeking a highly skilled and motivated Legal Counsel to join our legal team. Reporting directly to the Chief Compliance & Legal Officer, this role offers a unique opportunity to work in a fast-paced fintech environment, providing legal support across a variety of business areas. You will work alongside various departments to drive and negotiate complex corporate transactions including funding and vendor agreements, maintain strong corporate governance processes and reporting, develop new products, advise on legal risk and regulatory compliance in a variety of areas, and support corporate, employment and litigation matters.

Responsibilities:

  • Corporate Transactions and Governance: Support investment rounds, including due diligence, documentation review, and stakeholder communication.  Lead overall corporate governance, including legal entity maintenance and due diligence responses. Oversee the yearly cycle of formal governance activities.
  • Contract Review & Drafting: Draft, review, and negotiate commercial contracts to support business operations.  Drive or support related diligence activities as needed.
  • Litigation and Disputes: Handle litigation-related matters and other disputes as needed.
  • Legal Research & Analysis: Conduct research on complex legal issues across corporate, regulatory, and compliance matters.
  • Cross-functional Leadership and Collaboration: Lead cross-functional projects with legal focus.  Provide guidance on legal risks and best practices across departments, including product, operations, and marketing teams.
  • Legal Department Support: Lead day-to-day legal processes as needed. Contribute to any legal matter that arises within the organization as needed, ensuring alignment with applicable laws and regulatory frameworks.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school. Proof of degree completion will be required.
  • Bar Exam and admitted to practice law in at least one U.S. jurisdiction. A current, active U.S. Bar membership is required
  • 3-5 years of relevant experience in law firms and/or in-house legal departments.
  • Experience working with fintechs or financial services companies.
  • Strong contract drafting and negotiation skills.
  • Experience with corporate transactions and corporate governance matters.
  • Ability to work independently and adaptively, anticipate and mitigate friction points, and take the initiative to drive projects to completion.
  • Excellent communication skills, with a practical, solution-oriented approach.
  • Proficiency in Spanish is preferred, but not required.
