About the Role

We are looking for an experienced Fractional Contract Manager to own commercial contract review. This is a fully remote contractor engagement at approximately 10 hours per week, with the flexibility to scale as needed.

The ideal candidate brings in-house SaaS contract experience, strong independent judgment on standard commercial terms, and a track record of building repeatable contract processes. You will be the primary contract resource for our go-to-market team, working closely with our operations and business leadership.


Responsibilities
  • Review, redline, and negotiate NDAs, MSAs, and order forms — both on Citrine paper and customer paper
  • Serve as the primary point of contact for the go-to-market team on contract questions and reviews
  • Build and maintain a contract playbook documenting Citrine's standard positions and acceptable fallback positions by clause type (indemnification, liability caps, IP ownership, data privacy, and others)
  • Identify and flag non-standard terms; recommend whether to accept, negotiate, or escalate
  • Provide guidance to internal stakeholders on contract language and commercial norms
  • Support evaluation of contract lifecycle management and AI-assisted review tooling
Skills and Experience
  • 5+ years of contract management experience, ideally in-house at a SaaS or technology company
  • Strong working knowledge of MSAs, NDAs, SaaS licensing, and order forms
  • Proven ability to negotiate standard commercial agreements independently and make sound risk-based judgments
  • Experience developing contract playbooks, clause libraries, or standard position guides
  • Clear communicator; able to explain legal concepts and redline rationale to business stakeholders
  • Self-directed and comfortable working asynchronously with a remote team
Nice-to-Haves
  • Experience in enterprise B2B software, life sciences, or chemicals/materials industries
  • Familiarity with contract lifecycle management tools (Ironclad, SpotDraft, Docusign CLM, or similar)
  • Experience with AI-assisted contract review tools
  • Prior fractional or multi-client consulting experience
Engagement Details
  • Type: Independent contractor (1099)
  • Hours: ~10hrs/week; flexibility to scale during high-volume periods
  • Location: Fully remote; Eastern Time preferred
  • Rate: $85–$120/hr depending on experience and scope
