Equity Plan Administrator

Skillsoft is seeking an experienced Equity Plan Administrator to be responsible for the accurate, timely and compliant administration of Skillsoft’s global equity programs and related public-company reporting activities. In this role, you will have the opportunity to partner closely with Legal, Human Resources, Payroll, Tax and Finance, supports employees and executives, and serves as a key operational owner for equity systems, controls, filings and vendor relationships.

KEY RESPONSIBILITIES

  • Administer Skillsoft’s equity plans and awards, including RSUs, PSUs, stock options and other awards, from grant setup and participant communication through acceptance, vesting, release, exercise, forfeiture and termination processing.
  • Maintain complete and accurate participant, award, tax, share-pool and plan data in Equity Edge Online and related systems; monitor Workday integrations, resolve exceptions and reconcile equity activity to supporting approvals and records.
  • Coordinate vesting and release events, including validation of market value, tax methods and withholding, payroll reporting, transfer-agent instructions, share issuance and post-event reconciliations.
  • Prepare and coordinate public-company equity and ownership compliance activities, including Forms 3 and 4, Section 16 tracking, EDGAR Next administration, S-8 share tracking and equity-related proxy calculations and support.
  • Execute and document equity-related SOX controls; prepare audit support, periodic reconciliations and monthly, quarterly and annual reporting for Accounting, Tax, Payroll, Legal and Human Resources.
  • Partner with Legal and Human Resources on award approvals, grant agreements, insider-trading administration, blackout and trading-window communications, preclearance requests, stock ownership guideline tracking and required employee communications.
  • Prepare and coordinate international equity reporting and filings with local payroll teams and external advisors; support accurate tax withholding and reporting across jurisdictions.
  • Own day-to-day relationships with the equity platform provider, transfer agent, filing provider and other external advisors; respond promptly and professionally to participant questions and develop training and reference materials.
  • Monitor regulatory and market-practice developments affecting equity administration and recommend process, control and system improvements. Participate in other SEC reporting, governance or special projects as assigned.

REQUIRED SKILLS & QUALIFICATIONS

  • 8+ years of stock plan administration experience, preferably supporting global equity plans at a U.S. public company with a Bachelor’s degree in Accounting, Finance, Business, Human Resources or a related field, or equivalent relevant experience.
  • Hands-on experience with an equity administration platform such as Equity Edge Online; exposure to Workday, EDGAR Next, Section 16 filing software and transfer-agent processes is strongly preferred.
  • Advanced Excel and data reconciliation skills, with the ability to manage detailed records, complex calculations and competing deadlines with a high degree of accuracy.
  • Working knowledge of equity compensation, payroll and tax coordination, Section 16 reporting, securities-law compliance and SOX control requirements.
  • Excellent judgment, discretion, customer service and written and verbal communication skills; self-directed, highly organized and effective in collaborating across Legal, Human Resources, Payroll, Tax, Finance and external service providers.

Target base salary range for this job requisition is anticipated to be approximately $125,000- $135,000 annualized.
