The Corporate Counsel is responsible for assisting the Chief Legal & Compliance Officer in managing the many and varied legal affairs of Heartflow, Inc., including drafting and negotiating commercial and vendor agreements, assisting in commercial dispute resolution, regulatory and healthcare compliance questions, supporting SEC compliance, corporate transactions and governance, and labor and employment issues.

Job Responsibilities:
The Corporate Counsel is responsible for managing and providing support for legal and compliance functions, overseeing the legal contracting function, and providing legal advice to a variety of internal stakeholders. This role will handle a variety of legal and compliance tasks, including:
- Drafting and reviewing contracts including customer agreements, vendor agreements, license agreements and other legal documents
- Negotiating contract terms with customers, vendors, and other parties
- Providing legal advice on contract interpretation and obligations
- Ensuring compliance with all applicable laws and regulations, including supporting the compliance and privacy department with respect to legal questions
- Resolving any contract-related disputes or issues
- Advising on legal matters in support of internal stakeholders
- Collaborating with cross-functional teams to execute legal strategy
- Assist in the drafting and reviewing SEC filings and providing support to the corporate governance function
- Supporting the HR function, including labor and employment issues
Skills Needed:
- Experience in in-house legal work in the healthcare industry
- Exceptional negotiation and communication skills
- Demonstrated ability to manage multiple contracts simultaneously and to work cross-functionally
- Familiarity with industry-specific contract regulations and standards
- Advanced understanding of contract law and commercial terms
- Strong analytical and problem-solving abilities
- Excellent written and verbal communication skills
- Attention to detail and a meticulous approach to reviewing documents
- Ability to work independently and as part of a team
- Proficiency in legal research and writing
Educational Requirements & Work Experience:
- Juris Doctor (JD) degree from an accredited law school
- Active license to practice law in the relevant jurisdiction, or pending bar admission
- Minimum of one year of experience as a contracts attorney or in a related legal role such as an internship or law clerk
- Experience with contract management / lifecycle software, such as IronClad
This position has an estimated base salary of $140,000-$160,000 and cash bonus.
