Description

We’re growing and looking to hire a strong Corporate Counsel / Senior Corporate Counsel who embodies our core values: People First, Customer Obsession, Strive for Excellence, and Integrity.

Claroty is a global leader in protecting cyber-physical systems (CPS), dedicated to securing the critical infrastructure that keeps the world running. We’re a fast-growing, award-winning team where innovation meets purpose—and we want you to help us define the future of cybersecurity.

Why This Role Is Different:

Claroty sits at a unique strategic intersection: cybersecurity, critical infrastructure, and AI, at a moment of rapid growth and strong market opportunities. Our clients include many of the world’s largest and most recognized companies. Our work also expands to federal agencies and public sector organizations that protect national critical infrastructure.

This is an opportunity to take part in shaping Claroty’s strategic shift to AI on every front. Internally, you will take part in designing how the legal department works with cutting edge AI technologies. On the product side, you will advise on how AI is revolutionizing our platform and be deeply involved in the go-to market and product mapping and structuring.

You will have a seat at the table on M&A deals, strategic alliances, and federal and public sector growth initiatives that define the company’s next chapter.

About the Role:

As Corporate Counsel, you will serve as a trusted legal advisor, providing strategic and practical legal support across commercial transactions, operational matters, and corporate governance. You will partner closely with cross-functional leadership to negotiate key contracts, manage risk, and ensure regulatory compliance in a fast-paced environment. In this high-impact position, you will help shape risk-mitigation strategies while directly supporting the business's growth and strategic objectives.

If you’re a sharp, commercially minded lawyer who likes solving hard problems, learning fast and owning things end-to-end, you’ll understand why people love it here.

Responsibilities

As Corporate Counsel, your impact will be:

  • Commercial Contracts & Deal Execution: Negotiate and close complex global commercial transactions with some of the world’s largest enterprises, including enterprise SaaS agreements and strategic partnerships.
  • Strategic Alliances & Partnerships: Structure and negotiate strategic alliances, channel, reseller, MSP, and technology partnerships, OEM arrangements, and joint go-to-market relationships with leading industrial automation and technology companies.
  • Federal & Public Sector: Support our federal and public sector business, including government contracting terms, FAR/DFARS flow-downs, reseller and prime/sub arrangements, and related compliance requirements.
  • M&A & Corporate Development: Play a hands-on role in M&A deals and strategic corporate transactions, from due diligence and deal documentation through closing and post-merger integration.
  • Corporate Governance: Lead international entity formation and management, support board and corporate governance matters as the company scales, and maintain the trademark portfolio.
  • AI Transformation: Help shape the company’s strategic transition to AI internally, in product, operationally within the legal department, and externally with customers and partners.
  • Cross-Functional Generalist Advisory: Serve as a go-to legal partner across Sales, Product, HR, and Operations, providing business-minded advice on everyday legal matters, IP, regulatory compliance, and risk mitigation.
  • Data Privacy & Regulatory Compliance: Support global privacy compliance programs, monitoring evolving domestic and international regulations impacting SaaS, AI, and cybersecurity technology.
  • Legal Operations & Automation: Build scalable legal processes and use legal tech tools (including CLMs such as Ironclad and AI-driven legal tools such as GC AI) to streamline workflows. You’ll help shape how a lean legal team uses legal operations and AI to scale.
  • Leadership & Executive Advisory: Provide pragmatic legal risk assessments directly to senior leadership to drive fast, high-impact business decisions as the company scales.
Requirements

What you need to succeed in this role:

  • In-House Tech Experience: 5+ years of legal experience, including hands-on experience in a high-growth tech company with a lean legal department.
  • Domain Expertise: Strong transactional background in SaaS, software, and global commercial technology deals. Experience in any of the following is a strong plus: M&A, strategic alliances, cybersecurity, healthcare (including HIPAA), public sector or federal government contracting, or Canada/LATAM transactions.
  • Pragmatic Generalist Mindset: Demonstrated ability to manage diverse legal streams (contracts, HR, privacy, IP) and deliver actionable, business-first advice without over-analyzing.
  • Legal Tech & AI Capabilities: Hands-on experience with CLM platforms such as Ironclad. Experience leading or implementing a CLM or legal tech rollout is a strong plus. A builder’s mindset: you actively use AI and modern legal tech tools to move faster, and you enjoy creating the playbooks, templates, and workflows that help a lean team scale.
  • Educational & Bar Qualifications: J.D. from an accredited law school and active bar admission in good standing; training in a top-tier law firm tech practice preferred.
  • Location & Travel Commitment: Based in the Eastern Time Zone (US), willing and able to travel 10–15% for offsites, team gatherings, and major initiatives.

What you need to know about the Los Angeles Tech Scene

Los Angeles is a global leader in entertainment, so it’s no surprise that many of the biggest players in streaming, digital media and game development call the city home. But the city boasts plenty of non-entertainment innovation as well, with tech companies spanning verticals like AI, fintech, e-commerce and biotech. With major universities like Caltech, UCLA, USC and the nearby UC Irvine, the city has a steady supply of top-flight tech and engineering talent — not counting the graduates flocking to Los Angeles from across the world to enjoy its beaches, culture and year-round temperate climate.

Key Facts About Los Angeles Tech

  • Number of Tech Workers: 375,800; 5.5% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Snap, Netflix, SpaceX, Disney, Google
  • Key Industries: Artificial intelligence, adtech, media, software, game development
  • Funding Landscape: $11.6 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Strong Ventures, Fifth Wall, Upfront Ventures, Mucker Capital, Kittyhawk Ventures
  • Research Centers and Universities: California Institute of Technology, UCLA, University of Southern California, UC Irvine, Pepperdine, California Institute for Immunology and Immunotherapy, Center for Quantum Science and Engineering
