About the Opportunity:We are seeking an experienced Commercial and Corporate Counsel to join our dynamic legal team at Tools for Humanity. In this role, you will draft partnership and customer agreements, lead complex commercial negotiations, and advise on corporate governance and securities law. This role requires a proactive and organized individual who thrives in managing cross-border projects in a fast-paced environment. In this role, you'll take ownership of the following areas of work:
Commercial – Partnerships, Customers & Vendors
Lead drafting and negotiation of partnership, customer, and other complex commercial agreements.
Negotiate key SaaS and vendor contracts, advisor and consultant agreements, and event sponsorships.
Collaborate closely with executives and business leads to structure, document, and negotiate joint ventures and other novel deal types.
Develop playbooks, templates, and fallback positions that streamline contracting while protecting company interests.
Corporate & Securities
Provide strategic guidance on corporate and securities matters across multiple jurisdictions.
Maintain corporate records and filings for our US parent, international subsidiaries, and joint ventures; support Board and Committee meetings.
Structure and execute M&A, investments, and other strategic initiatives.
Partner with Finance and stock/token administration teams on equity and token matters.
Prepare and manage charters, consents, disclosure schedules, and related governance materials.
Relevant Experience: 4–8+ years as a Corporate, Commercial/Tech Transactions, M&A, or Emerging Companies attorney at a top firm or in-house (a combination is even better!). No prior Web3 or blockchain experience required.
In-Person: Able to generally be in the office in San Francisco, CA.
Communication & Relationship Building: Excellent communicator with the ability to present complex legal issues clearly and build high-trust relationships across teams and with external partners.
Judgment & Integrity: Demonstrates sound judgment, professionalism, discretion, and integrity in all interactions.
Adaptability & Initiative: Positive and collaborative attitude with intellectual curiosity, resourcefulness, and comfort working in a fast-paced, evolving environment.
Attention to Detail: Exceptional attention to detail and organizational skills, with a track record of improving processes.
Execution & Problem-Solving: Skilled at managing multiple priorities and solving both traditional and novel legal challenges.
Willingness to Travel: Open to occasional international travel and flexible scheduling based on team needs.

Pay transparency statement (for CA and NY based roles):
The reasonably estimated salary for this role at TFH ranges from $205,000 - $270,000, plus a competitive long term incentive package. Actual compensation is based on factors such as the candidate's skills, qualifications, and experience.
