About the role

This is a high-impact opportunity to be the first commercial-focused attorney at a company scaling fast and shipping ambitiously. As Commercial Counsel, you’ll be a trusted partner across teams, balancing pragmatic risk with forward-looking strategy and growth. You’ll own and shape our approach to commercial negotiations, help streamline processes that unlock revenue, and serve as a key voice on legal matters across product, privacy and policy.

What you will do
  • Provide practical day-to-day commercial legal support to the Sales teams, including direct negotiation of customer agreements
  • Develop and maintain scalable contract templates, enablement materials, training and negotiation playbooks
  • Advise cross-functional teams (Sales, Product, Security, BD, Finance, Ops, Data) on contract terms, risk and regulatory frameworks
  • Partner and lead legal efforts on a wide range of special projects, including procurement, rev rec and vendor agreements
  • Ensure compliance with data privacy regulations (GDPR, CCPA) and advise on data protection strategies
  • Collaborate with Security and Product teams on legal implications of AI, data residency and infrastructure
  • Flex into additional legal areas, including employment, corporate governance, and operational policy
What we're looking for
  • JD from an accredited law school and active membership in at least one US state bar
  • 7+ years of legal experience, either In-house experience at a high-growth startup, public tech company and/or top tier law firm with extensive exposure to customer/vendor contract negotiations
  • Deep working experience negotiating B2B SaaS contracts (on both vendor and customer paper), including subscription and consumption pricing models, order forms, SLAs, DPAs, and vendor assessments as well as professional services agreements, statements-of-work, confidentiality agreements, and third-party partner agreements
  • Willingness to engage cross-functionally with Hex's products, business practices, operating processes and policies and departments to support all areas of the business
  • Solid understanding of cloud security and global privacy frameworks
  • Excellent analytical, negotiation, drafting, and communication skills
  • Ability to provide and implement practical legal advice in complex commercial contract negotiations that mitigate risk and comply with revenue recognition rules, with tight turnaround, to support company commercial business objectives
  • A business-minded commercial attorney with a collaborative, team-player attitude, and excellent negotiation skills who can understands how to scale the business

Preferred

  • Experience with international commercial agreements and cross-border data transfer
  • CIPP or equivalent certification
  • Deep familiarity with open-source licensing and emerging legal trends in AI

This role will be hybrid (2-3 days per week in office) based out of our San Francisco office.

The OTE (base + variable pay) range for this role is: $180,000 - $220,000. 

The salary range shown may be a reflection of additional factors such as geographical location and skill ranges/levels we’re open to. Placement in the salary range will be decided upon completion of the interview process, taking into account factors like leaving room for growth, internal fairness & parity, your demonstrated skills, and the depth of your experience. Our Recruiting team will be able to provide more details during the interview process.
