About the Role:

We’re looking for an Associate General Counsel to join our Legal team. In this role, you’ll serve as the legal lead for the company’s public company reporting, corporate governance, and capital markets activities. This is a high-impact, high-visibility role offering meaningful ownership of core public company functions and direct involvement in the company’s strategic growth, financing, and governance initiatives. The role offers broad exposure to complex financing, governance, and strategic matters arising from a rapidly evolving business operating at the intersection of energy infrastructure, AI infrastructure, and digital assets.

This is a great opportunity for someone who is comfortable operating with a high degree of ownership and autonomy in a dynamic environment and who is energized by the opportunity to help build and scale a growing public company platform.

What You’ll Do:

  • Own the SEC reporting lifecycle, including oversight and preparation of all 10-K, 10-Q, 8-K, proxy, and related securities filings, while ensuring accuracy, compliance, and strong disclosure controls.

  • Partner closely with the Chief Legal Officer, executive leadership team, and Board of Directors on governance, disclosure, and other public company matters.

  • Manage governance processes and documentation, including Board and committee materials, governance policies, and Nasdaq compliance.

  • Lead legal support for capital markets and financing transactions and assist with other strategic corporate transactions.

  • Partner cross-functionally with Finance & Investor Relations, People, Tax, and outside counsel on corporate, financing, and securities matters.

  • Oversee matters including subsidiary management, insider trading compliance and reporting, equity compensation, and related corporate governance activities.

What You’ll Bring:

  • Strong experience with SEC reporting and public company securities matters.

  • Experience managing 10-K, 10-Q, 8-K, proxy, and other securities filings.

  • Strong understanding of corporate governance, disclosure requirements, and Nasdaq compliance.

  • Experience supporting capital markets, financing, and strategic corporate transactions.

  • Ability to partner effectively with executive leadership, Board members, and cross-functional teams.

  • Strong judgment, attention to detail, and ability to manage complex corporate and securities matters in a fast-growing environment.

Education & Experience:

  • Extensive experience advising public companies on SEC reporting, disclosure obligations, corporate governance, capital markets transactions, and related securities law matters.

  • Combination of top-tier law firm training and meaningful in-house legal experience, with strong technical expertise and a practical, business-oriented approach.

  • Demonstrated ability to operate independently in a fast-paced environment, manage complex matters with minimal oversight, and exercise sound business and legal judgment.

  • Experience working directly with executive leadership, Boards of Directors, and cross-functional stakeholders, with strong communication skills across legal and business teams.

  • Highly organized and detail-oriented, with the ability to manage multiple high-priority workstreams while maintaining responsiveness and quality.

  • Strong sense of ownership and accountability, with a collaborative, low-ego approach to working in a high-performance environment.

What you need to know about the Los Angeles Tech Scene

Los Angeles is a global leader in entertainment, so it’s no surprise that many of the biggest players in streaming, digital media and game development call the city home. But the city boasts plenty of non-entertainment innovation as well, with tech companies spanning verticals like AI, fintech, e-commerce and biotech. With major universities like Caltech, UCLA, USC and the nearby UC Irvine, the city has a steady supply of top-flight tech and engineering talent — not counting the graduates flocking to Los Angeles from across the world to enjoy its beaches, culture and year-round temperate climate.

Key Facts About Los Angeles Tech

  • Number of Tech Workers: 375,800; 5.5% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Snap, Netflix, SpaceX, Disney, Google
  • Key Industries: Artificial intelligence, adtech, media, software, game development
  • Funding Landscape: $11.6 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Strong Ventures, Fifth Wall, Upfront Ventures, Mucker Capital, Kittyhawk Ventures
  • Research Centers and Universities: California Institute of Technology, UCLA, University of Southern California, UC Irvine, Pepperdine, California Institute for Immunology and Immunotherapy, Center for Quantum Science and Engineering
