Senior in-house counsel responsible for public company governance, SEC reporting, securities compliance, M&A, capital markets (including catastrophe bonds/ILS), corporate insurance law, and public company litigation. Leads transactions, manages outside counsel, advises C-suite and Board, oversees contracts and regulatory issues, and mentors junior lawyers.

Process bi-weekly multi-entity, multi-state payroll and equity-related transactions; ensure tax and wage-hour compliance; manage garnishments and 401(k) deductions; prepare payroll journal entries, reconciliations, and audit support; partner with benefits vendors and respond to payroll inquiries and tax notices.
