About the Role:

We are seeking a strategic, senior securities lawyer to support CrowdStrike’s engagement with stockholders and the investment community on governance, disclosure, and proxy strategy. This individual will serve as a trusted advisor to senior legal leadership, and support company engagement with institutional investors and proxy advisory firms. This lawyer will play a key role in shaping the company’s approach to securities compliance, proxy season readiness, and investor outreach, supporting the evolution of the company’s governance program and alignment with evolving regulatory and investor expectations.

What You'll Do:

  • Securities Law & Disclosure:

    • Provide expert advice on securities law compliance, including 1933 Act and 1934 Act filings (Forms 10-K, 10-Q, 8-K, Section 16, S-8, etc.).

    • Lead preparation and review of the proxy statement and annual report.

    • Support corporate disclosure and review of earnings materials and sustainability reports.

  • Stockholder Engagement:

    • Support engagement with institutional investors on sustainability, executive compensation, and corporate governance topics, partnering with investor relations, HR, and senior legal leadership.

    • Manage relationships with proxy advisory firms (ISS, Glass Lewis, etc.) and develop responsive strategies to their recommendations.

    • Oversee annual and special meeting processes, including coordination with proxy solicitors, financial printers, and transfer agents.

    • Advise on director elections, stockholder proposals, and shareholder activism preparedness.

  • Cross-Functional Leadership:

    • Work closely with accounting, investor relations, HR, and communications, including to ensure consistency in disclosure, messaging, and governance positioning.

    • Serve as a senior member of the corporate legal leadership team and mentor more junior attorneys.

What You'll Need:

  • Education: J.D. degree from an accredited law school; member in good standing of at least one U.S. state bar.

  • Experience:

    • 10-12+ years of relevant experience, including at least 5 years in-house at a public company supporting investor relations and communications, as well as a top-tier law firm’s capital markets or public company advisory practice.  Preferred experience at a member of the S&P 500 and/or NASDAQ-100.

    • Deep understanding of evolving federal securities laws and SEC reporting, state corporate laws, and proxy regulations. 

    • Understanding of sustainability disclosure frameworks and reporting standards.

    • Proven experience managing complex investor and stockholder engagements, including with institutional investors and proxy solicitors.

    • Track record of successfully navigating annual meeting cycles and leading proxy statement preparation.

  • Skills:

    • Exceptional communication and presentation skills; ability to engage credibly with executive leadership and external stakeholders.

    • Strong judgment, diplomacy, and ability to balance legal risk with business needs.

    • Demonstrated leadership ability and commitment to mentoring and developing team members.

CrowdStrike, Inc. is committed to fair and equitable compensation practices. Placement within the pay range is dependent on a variety of factors including, but not limited to, relevant work experience, skills, certifications, job level, supervisory status, and location. The base salary range for this position for all U.S. candidates is $185.000 - $255.000 per year, with eligibility for bonuses, equity grants and a comprehensive benefits package that includes health insurance, 401k and paid time off.
