Fresh off of a Series A led by tier one investors, we are seeking ambitious professionals to join our high performing team. 


In this role, you would provide expert legal counsel while supporting the smooth and efficient operation of our marketplace business. This is the perfect role for a mid-level to senior securities lawyer with an entrepreneurial mindset, incredible attention to detail, and a passion for learning and growing who wants to leave a firm or large company and move into a dynamic, fast-paced startup environment.


Key Responsibilities & Challenges:

  • Advise the business on a wide range of complex US securities law matters, particularly private placements, funds, FINRA compliance, and broker-dealer regulatory matters, providing support for the company’s broker-dealer, private funds, and alternative trading system obligations.

  • Become the in-house expert in providing ongoing advice and guidance on new or evolving regulatory requirements or risks impacting the company’s securities business.

  • Draft, review, maintain and advise on transactional legal documents, including customer agreements, fee-related agreements, letters of intent, subscription agreements, side letters, etc. 


Requirements:

  • JD or LLB, and license to practice law in at least one state

  • 5+ years of relevant legal experience at a top US law firm or corporate in-house setting.

  • Experience advising fintech companies or financial institutions, such as investment banks, private funds, exchanges or trading platforms, or broker-dealers/intermediaries.

  • Resourcefulness and the ability to solve difficult problems.

  • Ability to communicate priorities and deadlines with internal and external stakeholders and build constructive high-trust relationships across teams and functions.

  • A track record of sound judgment and composure in high-pressure situations.


Nice to have: 

  • Experience in a tech start-up, high-growth company, private equity or venture capital fund.

  • FINRA Series 14, 6, 63, and/or 24.

  • Experience dealing with a relevant regulator (FINRA, SEC, OSC).

  • Experience with cross-border securities transactions.

  • In-house legal experience in a publicly traded company.
