Provides legal advice and counsel to corporate officers, managers and employees of the Company and its subsidiaries, affiliates, and joint ventures for its various lines of business under the general direction of Legal Department leadership.
  • Serves primarily as the lead legal resource to Strategic Sourcing supporting all matters related to vendor contracting and sourcing including drafting, reviewing, and negotiating vendor and supplier contracts with a focus on navigating high risk legal, policy, and operational issues.  Acts as the legal subject matter expert for Consulting and Service Agreements; Licensing, SAAS agreements, Hosting, Subscription, and End User License Agreements; Hardware Purchase and Lease Agreements; Facility, Event and Hotel Agreements; Nondisclosure and Confidentiality Agreements; Business Associate Agreements and Data Privacy Agreements; Placement, Recruitment and Staffing Agreements; Benefit Plan Agreements and Broker Agreements; Memoranda of Understanding, Letters of Intent, Letters of Agreement, Evaluation Agreements; Assignment, Escrow and Settlement Agreements; Order Forms, Statements of Work, Change Orders; Renewal and Termination Notices. (50%)

  • Provides legal advice to Company stakeholders regarding vendor-related risk and defines and develops solutions to comply with internal policies and standards, meet customer and regulatory requirements and adopt industry best practices; Acts as a lead Corporate Counsel on vendor management committees and other vendor related activities including internal and external audits. (20%)

  • Develops contract templates, model clauses, policies and procedures, codes of conduct, and related documents; Directs and conducts training and process improvement activities. (10%)

  • Reviews regulations, industry practices, vendor-sourcing RFPs, RFQs, RFIs and other documents affecting such activities to identify and respond appropriately to regulatory risks or opportunities. (10%)

  • Manages outside counsel and directs, monitors and develops legal strategies in connection with vendor contract disputes; Performs other duties as assigned. (10%)

Other Job Requirements

Responsibilities

5+ years of legal experience in healthcare industry.
8+ years of experience in a law firm, corporate or government setting practicing in a legal specialty area of relevance to the operations and functions and business of Company.
Admitted to practice law in at least one state.
Excellent written and verbal communications/advocacy skills, ability to work independently, ability to fashion practical business solutions to complex legal situations, negotiation skills.
General knowledge of the managed health care industry and regulatory environment.

Salary Minimum:

$127,295

Salary Maximum:

$229,105

This information reflects the anticipated base salary range for this position based on current national data. Minimums and maximums may vary based on location. Actual pay will be adjusted based on an individual's skills, experience, education, and other job-related factors permitted by law.
