About the Role: 

We are seeking a seasoned Real Estate Attorney with broad-based experience in commercial real estate transactions, with a focus on the development and construction of data centers.  The ideal candidate will have strong working knowledge of negotiating and drafting agreements related to real estate acquisition and development,zoning, permitting, entitlements, and land use,  

This role will report to the Lead Counsel, Commercial Leasing and Real Estate Development, and work cross-functionally with Data Center Operations, Construction and Design teams, Engineering, Site Selection, and external stakeholders including general contractors, architects,  civil engineers, and authorities having jurisdiction (AHJs).

What You’ll Do: 

Real Estate Development, Construction & Design

  • Draft, negotiate, and manage construction and development agreements, including AIA forms and custom contracts with general contractors, architects, engineers, and consultants.
  • Lead all development due diligence including title, surveys, zoning, permitting, entitlements for newly acquired sites.
  • Partner with internal teams to assess development feasibility, risk allocation, and timelines from initial diligence to project completion.
  • Provide legal guidance on insurance coverage, lien waivers, warranty terms, and risk mitigation strategies throughout the development lifecycle.
  • Oversee legal aspects of design and construction disputes, including change orders, schedule delays, claims, and defect management.
  • Lead legal strategy for zoning, land use, permitting, and entitlement processes.
  • Collaborate with municipalities, utilities, and third-party consultants to secure project approvals and resolve permitting challenges.
  • Monitor and advise on compliance with local, state, and federal regulatory frameworks, including planning and environmental laws.

Real Estate Transactions 

  • Draft, review and negotiate a broad range of real estate documents, including purchase and sale agreements, ground leases, build-to-suit and powered shell leases, easements, license agreements, leases,SLAs, and letters of intent (LOIs).
  • Provide legal support on mission-critical infrastructure leases, including hyperscale data centers across U.S. and international markets and support utility coordination and power procurement agreements, where applicable.
  • Evaluate acquisition risks and advise on remediation, mitigation, or deal structuring strategies.
  • Maintain and scale a library of form agreements, playbooks, and templates to drive efficiency across the portfolio.

Due Diligence & Portfolio Management

  • Oversee legal due diligence for real estate acquisitions, including title, survey, environmental review, and land use entitlements.
  • Evaluate acquisition risks and advise on remediation, mitigation, or deal structuring strategies.
  • Coordinate with internal stakeholders and external consultants to execute complex transactions under tight timelines.
  • Select, manage, and coordinate outside counsel and consultants as needed.

Experience & Qualifications

Required:

  • J.D. and active membership in at least one U.S. state bar (NY, NJ, CA, WA, or DC preferred).
  • 7+ years of legal experience, including significant experience in:
    • Real estate development and construction law
    • Commercial real estate experience, preferably for data centers use
  • Demonstrated ability to lead complex legal transactions and manage multiple projects and stakeholders.
  • Familiarity with AHJ coordination.
  • Deep experience with AIA and other industry-standard design/construction agreements.
  • Familiarity with municipal planning codes, agency approval workflows, and infrastructure-related regulatory processes.
  • Excellent drafting, negotiation, and communication skills.
  • Strong business judgment and ability to tailor legal advice to operational needs in a high-growth, fast-paced environment.
  • Experience managing legal risk and disputes related to real estate development, and construction.
  • Prior in-house legal experience at a technology, infrastructure, or real estate development company is preferred.

The base salary range for this role is $122,000 to $179,000. The starting salary will be determined based on job-related knowledge, skills, experience, and market location. We strive for both market alignment and internal equity when determining compensation. In addition to base salary, our total rewards package includes a discretionary bonus, equity awards, and a comprehensive benefits program (all based on eligibility).

While we prioritize a hybrid work environment, remote work may be considered for candidates located more than 30 miles from an office, based on role requirements for specialized skill sets.
