Job Description

We are seeking an experienced and highly skilled Senior Counsel to join our Corporate Legal Department. The ideal candidate will have extensive experience in corporate and commercial law, providing strategic legal advice and support to our business units. This role requires a proactive and detail-oriented individual who can manage complex legal matters and work collaboratively with various stakeholders.

 

Key Responsibilities:

  • Provide expert legal advice on a wide range of corporate and commercial matters, including mergers and acquisitions, joint ventures, corporate governance, and compliance.
  • Draft, review, and negotiate complex commercial contracts, including supply agreements, service agreements, licensing agreements, and confidentiality agreements.
  • Advise on corporate structure, formation, and governance issues, ensuring compliance with applicable laws and regulations.
  • Support the business in strategic transactions, including due diligence, risk assessment, and integration planning.
  • Manage and resolve legal disputes, including litigation and arbitration, in collaboration with external counsel.
  • Develop and implement policies and procedures to ensure legal compliance and mitigate risks.
  • Stay current with changes in laws and regulations that may impact the business and provide training to internal teams as needed.
  • Collaborate with cross-functional teams, including finance, HR, and operations, to support business objectives and initiatives.
  • Represent the company in negotiations and interactions with external parties, including regulators, customers, and partners.

 

Qualifications

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • Minimum of 8-10 years of experience in corporate and commercial law, preferably in a corporate legal department or a reputable law firm.
  • Strong knowledge of corporate governance, mergers and acquisitions, contract law, and regulatory compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple priorities and work effectively under pressure.
  • Strong analytical and problem-solving skills with a keen attention to detail.
  • Demonstrated ability to work collaboratively in a team environment and build strong relationships with internal and external stakeholders.
  • High ethical standards and integrity.
