We are seeking a commercial attorney with experience in renewable energy and battery storage offtake contracts. The Senior Counsel will support negotiation, execution and enforcement of a variety of offtake contract structures for utility-scale standalone energy storage and solar-plus-storage projects. The candidate should be experienced in supporting offtake contracting of utility-scale battery energy storage projects and, ideally, have experience supporting other aspects of battery storage development, construction, financing and/or operations.   

Responsibilities: 

  • Perform and oversee complex legal services to bid, structure, negotiate, execute and enforce offtake agreements for utility-scale energy storage and hybrid renewable projects;
  • Serve as legal lead on commercial matters and assist the Commercial team in all major areas of negotiating and executing project offtake and related hedging agreements; including assessing offtake structure, drafting and reviewing agreements and ancillary documents, confirming terms are financeable, establishing hedge structures as needed, and ensuring that transactions comply with corporate policies and precedent standards;
  • Serve as legal lead on signed commercial agreements for Development, Execution, and Asset Management teams to ensure compliance with obligations;  
  • Enhance internal transaction processes and contract templates for efficiency and compliance;
  • Facilitate legal support for cross-functional teams as needed;
  • Oversee and manage external counsel on commercial matters;
  • Identify and succinctly communicate material risks and proposed solutions to Aypa’s General Counsel and other executives and team leads;
  • Other duties as assigned. 

Key Qualifications 

  • JD from an accredited law school;
  • Active bar licensure in at least one US jurisdiction;
  • 5+ years of post-qualification experience, with demonstrated experience in utility-scale battery energy storage and solar/hybrid offtake contracting; 
  • Expertise negotiating and executing physical tolls, virtual PPAs, Resource Adequacy and other capacity contracts;
  • Expertise interpreting and enforcing offtake contracts during project execution and operation;
  • Experience with master electric trading contracts (EEI), ISDAs, and other hedging structures preferred;
  • Additional experience supporting utility-scale battery storage development, construction, financing and/or operations preferred;
  • Strong computer skills, including Word, Excel, and PowerPoint proficiency;
  • Excellent organizational and planning skills with meticulous attention to detail;
  • Exceptional written and verbal communication skills;
  • Strong interpersonal and diplomatic skills;
  • Highest standards of ethics and integrity. 

Compensation and Location: 

Salary:  A base salary commensurate with experience. 
Bonus:  An annual bonus will be awarded based on both individual performance as well as the overall success of the business.
