Position Summary

The Senior Counsel will join the Legal Commercial Vendor Management (Comm-VM) team and be responsible for managing a high volume of vendor agreements across the company, including technology and AI-enabled services. This role requires the ability to efficiently handle day-to-day contracting needs while independently leading complex negotiations when necessary.

The ideal candidate brings strong experience in technology and AI-related contracting, exercises sound commercial judgment, and partners effectively with Procurement and Security to drive timely, risk-aligned outcomes.

This is a senior individual contributor role.

Key ResponsibilitiesVendor Contracting & Negotiation
  • Draft, review, and negotiate a broad range of vendor agreements, including:
    • Master Services Agreements (MSAs)
    • Statements of Work (SOWs)
    • Non-Disclosure Agreements (NDAs)
    • SaaS and cloud services agreements
    • Data Processing Agreements (DPAs)
    • AI and machine learning-related agreements
    • Product and in-product technology agreements
    • Marketing, consulting, and professional services agreements
  • Manage a high volume of agreements efficiently while maintaining strong attention to detail and risk discipline.
  • Independently lead negotiations involving complex commercial, technical, or data-related issues.
  • Provide practical, risk-based guidance to stakeholders and escalate matters appropriately when required.
  • Ensure negotiated terms align with internal policies and risk tolerance.
AI & Technical Contracting Expertise
  • Advise on contracts involving AI-enabled tools and services, including:
    • Data usage and training rights
    • Model access and output ownership
    • Confidentiality and intellectual property protections
    • Regulatory and compliance considerations
    • Security and bias-related provisions
  • Stay current on evolving legal and regulatory developments related to AI.
  • Incorporate AI-specific protections and guardrails into templates and fallback positions.
Cross-Functional Partnership
  • Partner closely with Procurement throughout the vendor review and engagement process.
  • Collaborate with Security to address data protection and cybersecurity terms.
  • Participate in vendor review meetings and provide timely, clear status updates.
  • Support business teams across product, marketing, and operations.
Templates, Training & Process Improvement
  • Draft, update, and refine contract templates and playbooks, including AI-related provisions.
  • Provide training to Procurement and internal stakeholders on contracting processes and risk considerations.
  • Identify and implement process improvements to enhance contracting efficiency within Comm-VM.
QualificationsEducation
  • Juris Doctor (JD) from an accredited law school.
  • Active license and good standing in at least one U.S. jurisdiction.
Experience
  • 6–10+ years of commercial contracting experience, preferably in-house.
  • Significant experience negotiating SaaS, cloud, and technology vendor agreements.
  • Demonstrated experience negotiating AI-related contracts, including data rights and model usage considerations.
  • Experience managing a high volume of agreements in a fast-paced environment.
  • Experience partnering with Procurement and Security teams strongly preferred.

Pay & Benefits

The cash compensation below includes base salary, on-target commission for employees in eligible roles, and annual bonus targets under HubSpot’s bonus plan for eligible roles. In addition to cash compensation, some roles are eligible to participate in HubSpot’s equity plan to receive restricted stock units (RSUs). Some roles may also be eligible for overtime pay. Individual compensation packages are tailored to your skills, experience, qualifications, and other job-related reasons.

Annual Cash Compensation Range:
$160,000$240,000 USD
