Our Legal Team takes responsibility for developing and safeguarding our company’s global mergers, acquisitions, divestitures, joint ventures, strategic investments, venture capital transactions, and other capital and enterprise transactions. We provide critical legal support across all product companies working closely with the company’s business development and capital solutions teams and all of the legal department’s functions. We partner with the business to provide advice, guidance and action to ensure the success of the future of our business.

As Senior Counsel, Capital & Enterprise Transactions, you will manage and negotiate mergers and acquisitions, divestitures, joint ventures, strategic investments, venture capital transactions, and other capital and enterprise transactions. You will provide solid legal advice to our partners and stakeholders to ensure flawless delivery. Your role will be a highly visible one, working with the leaders of business development, capital solutions, the legal department and our product companies.
Senior Counsel, you will responsible for:
Acting as a trusted advisor through the transaction process to provide advice regarding structuring and transaction terms
Executing transactions to ensure compliance with applicable laws and regulations and consistent with desired business outcomes
Overseeing legal due diligence through advising the business on practices and processes for deal-related activity
Reviewing and negotiating transaction documents, including preliminary documentation and definitive, principal agreements to ensure compliance and legality
Assisting in portfolio management and strategic investments and venture capital transactions to provide insight and guidance
Managing external legal counsel as required to complement internal resources, and coordination of legal activities.
Fuel your passion
To be successful in this role you will have:
Have a Juris Doctor certification and be licensed to practice law in a state or territory of the U.S.
Demonstrate expertise gained from large law firm experience in mergers and acquisitions and private equity or venture capital investing
Have excellent verbal and written communication skills and ability to communicate effectively with internal clients and leadership
Be a motivated self-starter that promotes teamwork and collaboration in a cross-functional environment
Have experience leading and negotiating complex mergers and acquisitions and other strategic transactions
Show direct experience leading and negotiating venture capital transactions, including familiarity with market terms
Demonstrate experience in with working with and advising start-ups or incubations
Be able to travel nationally and internationally
