About The Role
We are seeking motivated and energetic individuals to join as Senior Corporate Counsel to support the full lifecycle of utility-scale, standalone BESS project development, primarily in the CAISO, WECC, SPP and MISO markets. You will partner closely with our development, commercial operations, project and finance teams throughout the project lifecycle, serving as a trusted embedded legal advisor. The ideal candidate is commercially minded and will report to the Deputy General Counsel.

Core Responsibilities
  • Lead legal support for the full BESS project lifecycle, from origination, site control, real estate, and permitting, through interconnection, commercial contracting, financing, and handoff to construction, operations, and asset management.
  • Partner with internal stakeholders to structure, draft, and negotiate key project agreements, including site control, interconnection, equipment procurement, construction, O&M, LTSA, asset management, consultant, and other commercial agreements.
  • Support responses to utility and corporate RFPs, and negotiate revenue and commercial agreements, including PPAs, tolling arrangements, capacity and energy services agreements, and other offtake structures.
  • Advise on procurement, trade, and supply chain matters, including equipment supply, import compliance, and potential project cost, schedule, and execution risks.
  • Support legal due diligence, transaction management, and closing deliverables for project and portfolio acquisitions, divestitures, preferred equity, and debt financings.
  • Work effectively with and manage outside counsel to deliver practical, cost-effective advice.
  • Monitor market, regulatory, and industry developments affecting BESS project development, commercial contracting, and compliance, and translate them into practical guidance for business teams.

Skills & Qualifications
  • 10 years of relevant legal experience in a law firm, sophisticated in-house legal department, or government agency, including substantial experience supporting energy project development and commercial transactions is required; utility-scale BESS experience in CAISO and/or WECC strongly preferred.
  • J.D. from an accredited U.S. law school and active license in good standing (preferably in CA, NY, or TX) is required.
  • Demonstrated experience drafting and negotiating offtake, power purchase, capacity, tolling, and other project revenue agreements, with a clear understanding of commercial risk allocation and project bankability. Experience negotiating commercial arrangements with data center, AI, cloud, hyperscale, or other large C&I customers is a plus.
  • Strong working knowledge of permitting, environmental review, land use, siting, interconnection, real estate, procurement, trade, supply chain, and ISO/RTO market issues relevant to utility-scale BESS projects.
  • Proficiency with legal technology and contract management tools, including AI-assisted research, drafting, and workflow tools, and sound judgment in using them responsibly and effectively.
  • Strategic and commercially minded, with sound judgment and strong problem-solving skills, and the ability to identify risks and opportunities early, analyze complex issues, and develop practical, business-oriented solutions.
  • Excellent written, verbal, and presentation skills, with the ability to communicate clearly and effectively with executives, deal teams, and technical stakeholders and deliver actionable recommendations.
  • Collaborative, adaptable, and responsive, with strong interpersonal and negotiation skills and the ability to work effectively across cross-functional teams, manage competing demands, adjust to changing circumstances, accept feedback, and contribute constructively to team problem-solving.

The actual salary and bonus offered will depend on the specific skills and experience of the selected candidate.

This position is classified as remote within the continental United States (international work is not permitted); however, periodic travel to company offices, project sites or other meeting locations may be required on an as-needed basis.
