Job responsibilities:

  • Draft, review, and negotiate a broad range of complex commercial agreements across the company’s operations, including enterprise SaaS agreements, technology licensing, data sharing agreements, bioinformatics collaborations, data resale and sublicensing deals, and confidentiality agreements.
  • Structure and negotiate strategic partnerships involving data products, platform access, and cloud-based tools in support of life sciences and precision medicine initiatives.
  • Serve as the legal department’s primary liaison to Sales, Commercial, Program Management, Finance, GRC, Engineering, Security, and Product teams.
  • Lead contract negotiations with pharmaceutical and biotech customers, including academic institutions and international counterparties, supporting both commercial and data product business lines.
  • Draft and operationalize fallback terms, clause libraries, negotiation playbooks, and contract approval/escalation workflows for Sales, BD, and Alliance teams.
  • Provide product counseling and legal review for platform features, marketing language, customer onboarding, public dataset access, data visualization tools, and certification programs.
  • Own and evolve legal oversight of data governance models, including data mapping, platform permissions, anonymization frameworks, consent requirements, and internal audit.
  • Develop and maintain internal processes for incident response, data security breach notifications, and cross-border data flows involving PII, PHI, or genomic data.
  • Advise internal stakeholders on compliance with global privacy regulations, including GDPR, CCPA/CPRA, HIPAA, DPF, and other region-specific data laws.
  • Support the development and negotiation of customer-facing Data Processing Agreements (DPAs), Business Associate Agreements (BAAs), and cross-border data transfer mechanisms.
  • Lead or support legal response and remediation plans for security incidents involving vendor platforms, SSO integrations, user impersonation, or unauthorized access to sensitive datasets.
  • Partner with HR team on employment law issues including severance agreements, independent contractor classification, remote work policies, and employee hiring in U.S. and international jurisdictions.
  • Provide legal guidance on entity formation, intercompany agreements, subsidiary oversight, cross-border IP ownership, and governance documentation for U.S. and international affiliates.
  • Serve as the legal project manager for internal and external corporate transactions including M&A, investor diligence, convertible instruments, and post-acquisition integration.
  • Work with external counsel and internal business leads to ensure that the company’s legal obligations align with commercial goals, platform capabilities, and regulatory constraints.
  • Translate legal risk into business-aligned recommendations that preserve flexibility while maintaining compliance.
  • Support board-related deliverables including D&O insurance coordination, officer and director appointments, and entity recordkeeping.
  • Monitor and interpret new and evolving laws relevant to the company’s operations, including digital health, life sciences, data use, consumer protection, export controls, and AI regulation.
  • Help build and sustain a legal function that is scalable, cross-functional, and operationally embedded across a global business.
