Key Responsibilities
Strategic Leadership & Executive Partnership
- Serve as the sole in-house legal counsel for a multinational healthcare SaaS organization; provide timely, practical, and strategic legal guidance to the CEO, CFO, CSO, CRO and Board of Directors.
- Operate as a senior advisor on all matters involving legal risk, regulatory exposure, compliance strategy, and legal best practices.
- Act as a business partner, not just a legal reviewer—proactively enabling operational efficiency, revenue goals, and organizational scale.
Commercial Contracting & SaaS Negotiations
- Own the full lifecycle of commercial contracting, including drafting, review, negotiation, redlining, and escalation strategies for SaaS agreements, data security addendums, BAAs, NDAs, MSAs, and vendor agreements.
- Collaborate closely with Sales leadership to accelerate deal velocity, reduce contract churn, and create scalable, predictable processes.
- Maintain, improve, and standardize contract templates and guide the business on contract scope and risk balanced solutions.
- Manage and optimize CLM processes; experience with Salesforce and AI driven CLM tools (e.g., Ironclad) is highly preferred.
Compliance, Privacy & Regulatory Oversight
- Serve as the company’s HIPAA Compliance Officer and GDPR Data Protection Officer, overseeing policy development, documentation, monitoring, audits, and training.
- Stay current on evolving healthcare regulatory requirements and data privacy laws, advising the business on the impact of new regulations.
- Lead investigations and compliance assessments as needed.
Employment & Corporate Governance
- Provide counsel on employment matters including hiring, terminations, investigations, policy development, and multi-state compliance.
- Guide executives on corporate governance, structure, entity management, and Board level reporting.
- Review and approve all internal policies, ensuring alignment with federal, state, and local regulations.
Risk Management & Litigation Oversight
- Manage all external legal counsel, litigation strategies, subpoenas, depositions, and dispute resolution.
- Review and negotiate insurance policies and partner with brokers to maintain appropriate risk management frameworks.
- Approve all outside legal spending and budget planning.
M&A and Corporate Development
- Advise on strategic transactions, including due diligence, compliance integration, contract unification, and post-acquisition transitions.
- Develop processes that strengthen legal readiness for future acquisitions and integrations.
Training, Culture & Internal Controls
- Lead training on contract drafting, information security, compliance, HIPAA obligations, and EEO best practices.
- Build and continuously enhance internal controls and documentation related to privacy, compliance, and legal operations.
- Promote a culture of legal and compliance excellence across all departments.
Qualifications
Required
- J.D. from an accredited law school and active license to practice law in at least one U.S. state.
- 10–15+ years of legal experience, with strong preference for:
- SaaS, software, or healthcare technology industry experience
- Significant exposure to commercial contracting, SaaS subscription models, and data privacy regulations
- Demonstrated ability to work directly with executive leadership and communicate with clarity, confidence, and polish.
- Expertise in HIPAA, GDPR, security and privacy regulations, and general healthcare compliance.
- Strong command of employment law fundamentals and experience advising on sensitive employee relations matters.
- Exceptional writing, drafting, and analytical skills.
- Strong business acumen and ability to translate legal concepts into practical, operational decisions.
- Proficiency with Microsoft Office and ability to quickly learn new tools, including CLM/CRM systems.
Preferred
- Prior in-house experience - especially sole counsel or first in-house legal hire.
- Experience supporting Sales functions and accelerating deal flow.
- Familiarity with Salesforce and CLM platforms such as Ironclad or similar AI powered tools.
- Experience with M&A due diligence, contract harmonization, and post-acquisition integration.
- Background in healthcare, data security, or regulated industries.
- Ability to thrive in a fast-paced, evolving, and collaborative environment.

We offer a salary range of $160,000 - $200,000 per year, with compensation tailored to your background, strengths, and potential to grow within the team.
The salary range listed for this role reflects our commitment to pay transparency and is based on market data, internal equity, and the scope of responsibilities. compensation will be determined by a combination of factors, including the candidate’s experience, skills, and the specific team or product area they support.
