Responsibilities:
Draft, review, and negotiate a variety of commercial agreements, including vendor contracts, procurement contracts, licensing agreements, content agreements, strategic partnership deals, SaaS agreements, and advertising contracts.
Provide clear, practical legal advice to internal stakeholders (e.g., business development, sales, marketing, and procurement and finance teams) on commercial transactions, partnerships, and new products.
Identify and mitigate legal and business risks in commercial arrangements, ensuring alignment with X’s strategic goals and compliance obligations.
Support strategic partnerships and collaborations by structuring agreements that protect X’s interests while fostering innovation and growth.
Advise on compliance with applicable laws and regulations, including consumer protection, advertising standards, and international trade.
Work closely with finance, accounting, operations, and product teams to align legal strategies with business priorities.
Develop and implement templates, playbooks, and processes to streamline commercial legal operations and enhance efficiency.
Assist in resolving commercial disputes, including managing pre-litigation negotiations and coordinating with the internal litigation team.
Monitor legal and regulatory developments impacting X’s business, particularly in technology, media, and digital platforms.
Qualifications:
Juris Doctor (JD) or equivalent law degree from an accredited institution. Must be admitted to practice law in California
5+ years of experience as a practicing attorney, with at least 3 years focused on commercial transactions, preferably in the technology, media, or digital platform industries.
In-house experience at a tech company or experience at a top-tier law firm advising tech clients is highly desirable.
Expertise in drafting and negotiating complex commercial contracts.
Ability to translate legal risks into business-friendly advice.
Excellent communication and interpersonal skills to collaborate with diverse teams.
Proactive, solution-oriented mindset with strong analytical and problem-solving abilities.
Comfortable thriving in a fast-paced, rapidly evolving environment.
Experience with international commercial transactions or cross-border agreements.
Knowledge of platform-specific regulations (e.g., content moderation, user-generated content).
