The Role

We are seeking a Senior Commercial Counsel to own a significant portion of evermore's commercial contracting across health care, payments, and technology. This is a senior, individual contributor role responsible for drafting, negotiating, and closing the customer, partner, and vendor agreements that power our business, within a company built at the intersection of health care, government, retail, and financial technology.

You will report to the SVP, Legal and work closely with Sales, Product, Compliance, and Operations to move deals forward while protecting the company and the members we serve. The role calls for deep health plan contracting experience and sound, independent judgment on data privacy. This is a chance to turn complex program requirements into clear, enforceable agreements that help the business get to yes, with pace.

What you'll do:

  • Own the drafting, review, and negotiation of health plan customer agreements, including templates that weave nuanced program requirements and data rights into standard commercial terms

  • Independently redline and negotiate MSAs, BAAs, SOWs, data use agreements, and vendor agreements across a heavy, recurring workload

  • Advise on data privacy questions, including data destruction, and distinctions between PII, PHI, and transaction data

  • Manage multiple live negotiations at once, prioritizing against business deadlines and using judgment on where terms and timelines can flex

  • Partner with Product, Sales, and Compliance to structure deals, flag risk early, and support relationships with outside service providers and partners

  • Build and maintain contract templates, playbooks, and processes that help the business track and enforce its agreements

What we look for:

  • 7+ years of commercial contracting experience, with in-house experience at a health care, health tech, or fintech company preferred

  • Deep experience drafting and negotiating health plan agreements (Medicare Advantage, Medicaid, or commercial payer), plus MSAs, BAAs, SOWs, and data use agreements

  • Strong working knowledge of HIPAA and data privacy; payments or fintech contracting experience is a plus

  • Independent judgment and strong prioritization; comfortable owning a high volume of matters with minimal oversight and acting as a business enabler

  • J.D. from an accredited law school and active bar membership in good standing in at least one U.S. state required

Other Requirements:

  • Occasional travel may be required from time to time as part of the role, for company events and business needs

  • evermore is a remote-first, distributed workforce. Candidates should be comfortable with, and equipped to work within, a distributed remote team, including having reliable internet access and basic home office equipment. evermore will provide a work laptop, and mouse/keyboard upon request

  • Legal authorization to work in the US is required. At this time, evermore will not consider candidates who need sponsorship, now or in the future

  • All offers for employment are contingent upon successful completion of a background check

Benefits & Perks:

  • Competitive base salary. discretionary bonus, and equity

  • Benefits

    • Medical, Dental, and Vision insurance with 90% paid employer premium contributions for all tiers

    • 100% Employer Paid Short-Term & Long-Term Disability

    • Employee Assistance Program (EAP)

    • 401(k) Program

  • Discretionary PTO

  • Paid holidays

  • Parental Leave

  • Remote, from the designated preferred state(s) we are hiring in for this role: California, Florida, Georgia, Maryland/District of Columbia, Massachusetts, New Jersey, North Carolina, Ohio, Pennsylvania, Texas

What you need to know about the Los Angeles Tech Scene

Los Angeles is a global leader in entertainment, so it’s no surprise that many of the biggest players in streaming, digital media and game development call the city home. But the city boasts plenty of non-entertainment innovation as well, with tech companies spanning verticals like AI, fintech, e-commerce and biotech. With major universities like Caltech, UCLA, USC and the nearby UC Irvine, the city has a steady supply of top-flight tech and engineering talent — not counting the graduates flocking to Los Angeles from across the world to enjoy its beaches, culture and year-round temperate climate.

Key Facts About Los Angeles Tech

  • Number of Tech Workers: 375,800; 5.5% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Snap, Netflix, SpaceX, Disney, Google
  • Key Industries: Artificial intelligence, adtech, media, software, game development
  • Funding Landscape: $11.6 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Strong Ventures, Fifth Wall, Upfront Ventures, Mucker Capital, Kittyhawk Ventures
  • Research Centers and Universities: California Institute of Technology, UCLA, University of Southern California, UC Irvine, Pepperdine, California Institute for Immunology and Immunotherapy, Center for Quantum Science and Engineering
