Job Summary

The Paralegal - Contracts provides advanced legal support on a variety of legal matters. This position is responsible for drafting, reviewing, and negotiating various legal documents, as well as ensuring contracts comply with applicable laws and regulations.  Additionally, this role will conduct day-to-day file management, assist with business communications, handle the administration of Legal programs, and provide back-up support to other colleagues in the Legal department, as needed.

Major Tasks, Responsibilities and Key Accountabilities

  • Reviews, drafts, and revises a wide range of commercial agreements, ensuring accuracy, clarity, and compliance with applicable laws.
  • Communicates effectively between third parties and internal teams, aligning with departmental and company objectives.
  • Develops, updates, and maintains contract templates, forms, policies, and guidelines. Serves as content manager for the company Contract Management intranet page to ensure all data is current.
  • Coordinates with outside counsel and schedules meetings for attorneys.
  • Gathers information, provides updates, and addresses inquiries from internal clients, maintaining confidentiality and professionalism.
  • Reviews outside counsel invoices for compliance with Legal department guidelines.
  • Updates files and enters documents into Legal’s contract lifecycle management (CLM) system.
  • Prepares and disseminates reports to management and employees.
  • Responds to and routes incoming legal/process questions.
  • Administers legal systems as needed.
  • Assists in developing and delivering legal education and training.
  • Facilitates meetings and participates in special projects and initiatives.
  • Serves as lead project support for Legal’s CLM system, acting as a liaison and implementor between Legal, business stakeholders, and third-party support resources.
  • Manages CLM system, including maintenance of database, templates, users, archiving process, workflow design/builds, and clause library.
  • Receives intake requests from business units for contract needs and disseminate to the appropriate contract managers.
  • Provides administrative support to the Legal department, as needed.

Nature and Scope

  • Identifies key barriers/core problems and apply problem solving skills in order to deal creatively with complex situations.
  • Troubleshoots and resolves complex problems
  • Makes decisions under conditions of uncertainty, sometimes with incomplete information, that produce effective end results.

Work Environment

  • Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
  • Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
  • Typically requires overnight travel less than 10% of the time.

Education and Experience

  • Typically requires BS/BA in a related discipline. Generally 5-8 years of experience in a related field OR MS/MA and generally 3-5 years of experience in a related field. Certification is required in some areas.

Preferred Qualifications

  • Notary Public or ability to gain Notary Public certification.
  • Paralegal certificate (e.g. NALA, NFPA) preferred
  • Demonstrated experience supporting CLM implementation projects.
  • Proficiency in Microsoft Office, Adobe Acrobat Pro, e-signature tools (DocuSign), e-billing software (Brightflag), and entity management (CSC), considered a strong plus.
  • Previous in-house experience preferred.
  • Certified Ironclad CLM Solution Administration or ability to obtain certification.
