About the role

  • The Paralegal will support legal, compliance, and regulatory functions of a fast-growing bitcoin and financial services technology company. This role provides critical operational, organizational, and research support across corporate governance, securities filings, regulatory compliance, commercial contracts, product review, and risk management. The ideal candidate is detail-oriented, highly organized, and comfortable working in a dynamic, fast-paced environment with high expectations for accuracy, confidentiality, and execution speed.

What you will do

Corporate Governance, Securities, & Equity Support

  • Support securities counsel and the legal team with preparation, organization, and maintenance of Board and committee materials.
  • Maintain corporate minute books, resolutions, charters, subsidiary records, and governance calendars.
  • Assist with drafting, coordination, and filing of SEC reporting and compliance materials, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and Form 144s.
  • Coordinate insider trading compliance activities, including pre-clearance requests, blackout periods, reporting timelines, and tracking requirements.
  • Help maintain accurate equity and capitalization records, including option grants, RSUs, and cap table updates, in coordination with Finance and the transfer agent.
  • Coordinate with the transfer agent on issuances, corrections, holds, freezes, and other corporate actions.
  • Support annual meetings, officer and director reporting obligations, and subsidiary governance matters.
  • Assist with internal controls related to disclosure processes, earnings preparation, and materiality workflows.


Capital Markets & Financing Support
  • Support legal and finance teams on capital markets and financing transactions, including equity issuances, convertible instruments, debt facilities, and related amendments.
  • Assist with preparation, organization, and execution of transaction documents, closing checklists, signature packets, and post-closing deliverables.
  • Coordinate with internal stakeholders (Finance, Accounting, Investor Relations) and external parties (outside counsel, transfer agent, trustees, custodians) in connection with financings and corporate actions.
  • Help track post-closing obligations, reporting requirements, and ongoing compliance matters related to financing transactions.
  • Maintain organized records of financing documents, amendments, consents, and related board and disclosure materials.
Contracting & Commercial Support
  • Manage intake, reviewing, redlining, execution, and archiving of NDAs, vendor agreements, partnerships, and commercial contracts.
  • Maintain contract management systems, approval workflows, and compliance with signature authority policies.
  • Coordinate with cross-functional partners (Product, Engineering, Finance, Risk, Compliance, Marketing) to ensure contract accuracy and turnaround.


Product & Operational Support
  • Assist with documenting product requirements, regulatory controls, and policy updates that impact product launches.
  • Support legal review workflows for disclosures, marketing content, financial promotions, and consumer-facing communications.
  • Help maintain internal documentation around product compliance, regulatory strategy, and risk mitigations.
Litigation, Incident Response & Corporate Matters
  • Support coordination of subpoenas, litigation holds, discovery responses, and outside counsel communications.
  • Assist in documenting and tracking incident response matters including data security, fraud, customer complaints, and regulatory escalations.
  • Maintain organized matter files, logs, and documentation repositories.


Legal Operations & Internal Systems
  • Implement and maintain legal processes, intake queues, trackers, dashboards, and internal SOPs.
  • Build repeatable workflows for filing, tracking, reporting, and auditing legal materials.
  • Support budget, outside counsel management, and invoice review.
  • Help maintain and organize project files and documentation. 
  • Create systems that increase reliability, reduce errors, and improve cross-functional clarity.
Regulatory, Compliance & Risk Operations
  • Conduct regulatory research and track new developments across fintech, bitcoin, money transmission, consumer protection, financial services, AML/BSA, and privacy.
  • Assist with preparing and maintaining licensing filings, audits, regulatory examinations, and compliance testing documentation.
  • Support enterprise risk and compliance programs, including policies, SOPs, training logistics, and documentation management.
  • Organize correspondence and submissions to regulators, auditors, and external stakeholders.

Qualifications

  • Bachelor’s degree required; Paralegal certification preferred.
  • 3–7+ years of paralegal experience.
  • Experience supporting securities filings, public-company governance, equity administration, regulatory filings, or complex corporate matters strongly preferred.
  • Outstanding organizational skills with high attention to detail, accuracy, and confidentiality.
  • Strong written communication skills and ability to summarize complex issues clearly.
  • Comfortable in a fast-paced, high-velocity environment with evolving regulatory and operational demands.
  • Proficiency with legal operations tools, entity management software, contract lifecycle management systems, and equity platforms a plus.
  • Good person.

  • Legal, compliance, and regulatory teams consistently operate with greater speed, organization, and predictability.
  • SEC, governance, contract, and equity workflows are executed with high accuracy and minimal rework.
  • Documentation, filings, and regulatory artifacts are complete, audit-ready, and easy to locate.
  • Outside counsel costs decrease due to improved internal preparation and documentation.
  • Internal teams view Legal as responsive, organized, and reliable.
  • The legal team is able to operate with increased leverage, focus, and strategic bandwidth.
