VP, Legal 

We are currently looking for VP, Legal to work full-time in our Los Angeles Headquarters. The VP, Legal will be responsible for the company’s legal work, including preparing and filing all federal and state regulatory filings. The ideal candidate will have an immediate and critical impact in successfully scaling RealtyMogul.com as the leading real estate crowdfunding platform. This position will report directly to the Chief Operations Officer.

What You'll Do:

• Be a key member of the legal team, advising colleagues and management on real estate and securities law matters and working collaboratively toward compliant business solutions
• Draft, review and negotiate legal agreements, offering materials, and related documentation
• Review offering and advertising material to ensure compliance with applicable securities laws and regulations
• Prepare and file, initial and ongoing, federal and state securities filings relating to securities issuances and offerings
• Coordinate across functions within the company to manage and advance transaction processing
• Work with in-house compliance team and external regulatory consulting firms for company compliance with securities, employment, real estate, and other laws and regulations to minimize risks
• Participate in the definition and development of corporate policies, procedures, and programs
• Advise on legal aspects of the company, including assessing and advising on current and future business structures and legal entities

Who You Are:

• You have at least 7 years of experience practicing law, with experience in corporate transactions (preferably including real estate finance transactions) and securities regulation
• You have strong drafting and negotiating skills and have substantial experience with operating agreements and financing arrangements, including debt and equity issuances
• You are familiar with securities laws and regulations relevant to issuers of securities in private placements and public offerings, preferably with some exposure to broker-dealer and/or investment advisory issues
• You are highly ethical and value compliance and confidentiality
• You are detail-oriented and highly organized
• You are comfortable manage numerous tasks and prioritize meeting all deadlines
• You have excellent communications skills - both oral and written
• You are driven and independent as well as a team player
