Responsibilities

  • Assist with managing the filing of SEC reports (10-K, 10-Q, 8-K, S-8, Proxy Statement) and Section 16 filings
  • Coordinate Director & Officer Questionnaire process, including compiling necessary information, disseminating questionnaires and reviewing/archiving completed questionnaires
  • Assist with the filing of registrations, disclosure materials and similar documents with governmental agencies, including ensuring business license and registration filings are current 
  • Help with corporate governance processes including taking lead on general recordkeeping, preparation and organization of materials and minutes for Board of Director and Committee meetings, and maintaining corporate minute books
  • Support legal aspects of potential acquisitions, including data room management, performing due diligence, assisting with closing documents, obtaining required signatures, assisting with post-closing integration and administration, and any other special projects
  • Maintain books and records for Corporate Secretarial office, including Board and Committee minutes, related parties and other SEC documents
  • Assist with management of the intellectual property portfolio 
  • Assist the Finance team with their requests related to SOX compliance, taxes, and finance reporting 
  • Help update corporate entity documents, such as LLC agreements
  • Help manage the distribution and tracking of internal company policies
  • Assist with the preparation of documentation for Viant’s Annual Meeting
  • Assist with, obtain and distribute notarizations, apostilles, legalized documents, certified copies, corporate filings and other corporate documents
  • Work with other members of the legal team and other company functional departments on special projects, collaborating with cross-functional teams, including Finance, Accounting, and Investor Relations
  • Preparing affidavits, legal correspondence and other documents for attorneys
  • Organizing and maintaining documents in a paper or electronic filing system
  • Liaise with outside counsel and internal departments to coordinate projects, track deadlines, and stay on top of any changes that may impact Legal.

Basic Qualifications

  • 5 years of experience as a corporate paralegal with a publicly traded company and/or paralegal experience in a law firm supporting public company governance, public reporting and transactional work
  • Associate’s Degree and paralegal certification
  • General records management experience
  • Proficiency with MS Office products
  • Proficiency with Board of Director platforms, legal entity management, and other related legal software
  • Ability to comprehend and communicate complex issues succinctly and clearly
  • An adaptable problem-solver who challenges the status quo, seeks to make things better and more efficient
  • Exceptional organizational skills
  • Strong written and verbal communication skills
  • Impeccable integrity and good judgement
  • Ability to maintain confidentiality handling sensitive information
  • Ability to maintain a positive attitude while working within a fast-paced work environment with shifting priorities
  • Comfort communicating with senior executives and/or Board members
  • Must be a self-starter, dependable, and take pride in work product

Preferred Qualifications

  • Bachelor’s Degree
  • Some litigation experience
  • CLM software experience
  • Board portal experience
  • Matter management software experience
  • Notary certification
