Job Summary:

The Senior Corporate Counsel will provide support to the General Counsel and key company stakeholders in relation to corporate governance matters and internal policies and procedures for both domestic and international company affiliates and subsidiaries. Work directly with the General Counsel to provide additional internal control infrastructure and compliance programs.

Job Expectations: 

• Experience with general corporate, governance, variable compensation plans, and executive compensation

• Support General Counsel in the preparation of governance documents, as required, for domestic and international subsidiaries

• Develop and organize materials for Board of Directors and committee meetings, including meeting minutes

• Implement corporate policies, including Board and committee charters

• Draft formation documents, amendments to organizational documents, and resolutions

• Direct the preparation and filing of all annual statutory reports and other documents necessary to comply with state laws and regulatory requirements

• Identify and counsel the organization on contractual terms and provisions which exceed the company’s risk tolerance 

• Maintain and update management agreement templates and intercompany agreements 

• Provide advice and support to internal stakeholders to develop, establish, and improve internal processes relating to investments and business operations 

• Collaborate with General Counsel to develop additional internal control programs

• Assist General Counsel in improving upon and implementing additional governance and policies 

• Assist General Counsel in relation to international expansion matters and special projects, research, benchmarking, accounting, tax, corporate development, compensation and benefits

• Support General Counsel in relation to legal implications of variable compensation plans and stock option plans.

Knowledge, Skills, and Abilities:

Required:

• Licensed to practice law in California.

• Highly skilled negotiator and team player 

• Effective research and analytical skills

• Business acumen and ability to provide practical legal guidance

• Demonstrated ability to manage a heavy workload and complete transactions quickly and effectively.

• Ability to work independently on projects, meet aggressive deadlines and juggle multiple matters.

Equipment Knowledge: 

• Knowledge of Microsoft Office: Word, Excel, and PowerPoint

Experience Requirements:

• Generally requires a minimum of 8 to 10 years of proven legal experience, both in law firm and in-house. 

• E-commerce, dietary supplement industry, and international experience is a plus.

Education Requirements: 

• JD from an accredited law school.
