The Opportunity:

Clutter is looking for a General Counsel to build and lead a world class legal and regulatory compliance function at a rapidly growing start-up. This individual will need to be an effective hands-on operator as well as a strategic partner to a number of key internal and external stakeholders. This role will be part of the Leadership Team and report directly to our CEO. 

What you’ll do:

  • Draft, review, interpret, and negotiate agreements covering the full scope of company’s activities, including corporate and financial transactions, commercial agreements, M&A matters, licensing agreements, service agreements, partnership agreements, sales and marketing agreements, and vendor agreements
  • Advise on intellectual property, regulatory, data privacy requirements and employment matters to mitigate risk
  • Lead company-wide regulatory compliance, including international regulatory matters
  • Represent company directly and/or manage outside counsel in litigation matters
  • Manage corporate governance and administration, including preparing Board of Director materials and corporate resolutions, managing local filings, and administering corporate records
  • Manage selection, retention, management, evaluation, and optimization of all outside counsel
  • Create, improve, and implement company-wide policies, procedures, and standard agreements
  • Maintain awareness of current and applicable developments in the legal and regulatory landscape; continually reviewing and analyzing trends that could impact company’s business

  • Excellent interpersonal skills to develop strong relationships across the company by collaborating with cross-functional teams

Skills

  • Juris Doctorate (J.D), current member in good standing with the California bar
  • 10-15 years of experience at top-tier law firm and/or in-house at a comparable company
  • Specific legal expertise regarding employment laws in the state of California
  • Experience reviewing and negotiating complex commercial and corporate matters, including M&A
  • Demonstrated record of managing and successfully resolving contentious litigation
  • Experience building and leading internal legal teams while optimizing external counsel
  • Proven track record of collaborating with cross-functional teams and advising executives
  • Strong project management experience with a proven track record of delivering extraordinary results on time
