Corporate Counsel
OVERVIEW:
The Corporate Counsel is responsible for administering commercial contracts and agreements, delivering legal advice to the business units and supporting company legal and regulatory policies. The role will be a key contributor in this department and will report to a Senior Corporate Counsel.

The Stamps.com Legal Department is a collaborative group of legal professionals which manage the legal work for Stamps.com, ShipStation, Metapack, GlobalPost, Endicia, ShippingEasy, ShipWorks, ShipEngine and all subsidiaries in the family of companies.

RESPONSIBILITIES:
Primary Objectives:
- Administer commercial contracts and agreements.
- Deliver legal advice, guidance and solutions to business units.
- Support company legal and regulatory policies.
Essential Position Duties:
- Administer commercial contracts and legal agreements.
- Drafting, reviewing, and negotiating a variety of commercial contracts, including master services agreements, statements of work, SaaS agreements, software and API license agreements, customer agreements, IT agreements, technology agreements, leases, non-disclosure agreements, consulting/contractor agreements, vendor and procurement agreements and similar agreements with minimal oversight.
- Reviewing, drafting and updating online service terms, legal disclosures and privacy policies.
- Evaluating issues and providing legal advice and practical solutions to support executives and professionals in the business units, including in the marketing, sales, business development, IT and product teams.
- Assisting with legal analysis, conducting research and collaborating with external counsel on legal matters related to commercial contracts, internet and website disclosure, marketing, industry oversight and regulation, international and cross-border regulation and general litigation.
- Conducting research and analysis regarding regulatory laws and industry best practices applicable to the business units.
- Reviewing and analyzing notices from external parties and filings with corporate compliance regulatory agencies, including coordination with multiple office locations.
- Collaborating to manage and improve forms, templates and procedures.
- Implementing procedures and work-flow related to company legal and regulatory policies.

QUALIFICATIONS:
Required Education and/or Experience:
- J.D. from top tier ABA accredited law school, demonstrated academic achievement.
- Admitted to the California bar in good standing or registered (or eligible for registration) as in-house counsel in California.
- Four to Six (4-6) years of experience working at a top tier law firm or in-house for a corporation.
- Strong background in leading corporate transactions and complex commercial contracts required.
- Experience with SaaS, software and API license and technology agreements strongly preferred.
- Experience with cross-border transactions and international expansion a plus.
- Prior work representing public companies in connection with government or regulatory agencies a plus.
