Commercial Counsel
FloQast is seeking an experienced Commercial Counsel to lead our day to day legal affairs at a growth-stage, venture-backed software Company. You’ll be the second member of our in-house Legal team, joining and reporting to our General Counsel as we collaborate to continue to build out our team. Providing strategic legal advice across the entire Company, you’ll balance legal needs with Company values and objectives.
The ideal successful candidate will be able to handle multiple areas of responsibilities autonomously, demonstrating excellent critical judgement with hands-on approach. This is a great opportunity to work on a broad range of projects across multiple departments and play a key role in supporting the Company’s rapid growth.
We are seeking Los Angeles, CA based candidates. Remote candidates will not be considered at this time.

Responsibilities Include:
- Be “the lawyer” at FloQast. Keep us out of trouble and growth-ready at all times.
- Be the primary owner of all commercial and contractual matters. You’ll draft, negotiate, and execute a wide variety of agreements and manage the process behind vendor agreements.
- Work directly with our General Counsel on everything from commercial and partnership negotiations to intellectual property maintenance and protection to data privacy compliance to assisting with fundraising and potential acquisitions.
- Regularly update templates and forms to comply with changes in law and changes in market.
- Design and execute standard processes for contracting and complying with contractual obligations.
- Design and execute data security and privacy reviews, certifications, staff trainings and compliance.
- Design and implement additional staff trainings around areas that interest you.
- Manage legal records.
- Advance a culture of information security by protecting customer and user information and identifying opportunities to strengthen that culture further.
- Any other projects as assigned to help the Company meet its goals.
Desired Qualities and Skills:
- Earned a law degree somewhere (fancy schools are helpful; ultimately, we're all about demonstrated skills, not degree & pedigree).
- Solid knowledge and experience in reviewing and negotiating SaaS agreements.
- Admission to and in good standing with the California bar (or equivalent with in house waiver/registration).
- Demonstrably shined wherever you've been.
- Worked in a high-stakes environment.
- Flexible and adaptable in a quickly changing, high-growth Company.
- Expert communicator, verbally and in writing, who is capable of explaining complicated topics to those without legal training.
- Skilled at problem solving and you take a pragmatic, business-minded approach to legal analyses and risk assessments.
Nice to have attributes:
- 2+ Years at a good firm.
- 2+ Years at a software or tech Company selling products on a subscription basis.
- Expertise in data privacy and security laws and best practices.
