We are seeking a practical, business-minded Legal Counsel to join our Legal & Compliance function. Reporting directly to the SVP of Legal & Compliance, this attorney will independently manage a broad portfolio of commercial, regulatory, privacy, corporate, employment, litigation, and operational matters across multiple businesses. 

This is a hands-on role within a lean legal team and is well suited for an attorney who enjoys working closely with business leaders, taking ownership of matters from start to finish, and providing clear, pragmatic legal advice. 

We are also building an AI-native Legal & Compliance function. The successful candidate will be expected to thoughtfully incorporate AI and legal technology into everyday legal work and help identify opportunities to improve efficiency, consistency, knowledge management, and legal decision-making while maintaining appropriate human judgment and oversight. 
This is a fully in-office role in Walnut Creek, CA. We are not accepting applicants outside of this area.

Key Responsibilities 

  • Draft, review, and negotiate a broad range of commercial agreements, including vendor, services, technology, advertising, lead-generation, traffic, and other business agreements. 

  • Provide practical legal advice to business, product, technology, marketing, HR, and executive teams on day-to-day and strategic matters. 

  • Advise on privacy, consumer protection, digital marketing, telemarketing, texting, advertising, and lead-generation compliance, including TCPA, consent, Do Not Call, data privacy, and consumer-rights requirements. 

  • Monitor relevant legal and regulatory developments and translate requirements into practical business guidance, policies, and processes. 

  • Review websites, landing pages, disclosures, consent flows, and other consumer-facing experiences for legal and regulatory compliance. 

  • Manage and support litigation, demand letters, subpoenas, investigations, and disputes, including coordination with outside counsel and settlement matters. 

  • Support corporate governance, entity management, employment matters, intellectual property, insurance, financing, and other corporate and operational matters. 

  • Conduct legal and compliance due diligence on prospective partners, vendors, and strategic transactions. 

  • Support confidential executive and special projects and coordinate with outside attorneys, advisers, financial institutions, and other professional service providers as appropriate. 

  • Help manage legal vendors, documentation, contract execution, and other legal department processes. 

  • Use AI and legal technology to support contract review, research, drafting, document analysis, compliance review, knowledge management, and other appropriate legal workflows. 

  • Help develop AI-assisted templates, playbooks, workflows, and automation while ensuring appropriate safeguards for confidentiality, privilege, accuracy, and legal judgment. 

  • Identify opportunities to continuously improve how the Legal & Compliance function operates. 

Qualifications 

  • 3+ years of relevant legal experience, including law firm and/or in-house experience. 

  • Law degree and active membership in good standing in at least one applicable U.S. or Canadian jurisdiction. 

  • Strong commercial contract drafting and negotiation experience. 

  • Experience in one or more of the following areas preferred: privacy and data protection, advertising and marketing law, consumer protection, technology, corporate governance, employment, or commercial disputes. 

  • For Canada-based candidates, experience supporting U.S. businesses or working with U.S. legal and regulatory requirements is strongly preferred. 

  • Excellent legal research, drafting, analytical, negotiation, and issue-spotting skills. 

  • Ability to independently manage matters, prioritize competing demands, and exercise sound judgment regarding escalation. 

  • Practical, solutions-oriented approach and ability to communicate legal risks clearly to non-legal stakeholders. 

  • High degree of discretion and comfort handling sensitive and confidential matters. 

  • Strong interest in generative AI, legal technology, and technology-enabled ways of working. Prior experience with specific AI platforms is not required, but curiosity, adaptability, and willingness to incorporate AI into everyday legal work are essential. 

Ideal Candidate 

The ideal candidate is a versatile and highly accountable in-house lawyer who enjoys working across multiple areas rather than operating within a narrow specialty. They are comfortable taking ownership of matters, working directly with senior leadership, and moving between contracts, compliance, disputes, corporate matters, and emerging legal issues. 

They should also be excited about the changing practice of law and interested in helping build a Legal & Compliance function where AI, technology, institutional knowledge, and human judgment work together by design.
