The Private Wealth Group is highly entrepreneurial and has a stated goal of hitting $1 trillion in AUM within the business unit, and the PWPF Legal team is core to this mission.
Job Description:
This role sits within a fast-growing and dynamic business, with a focus on global fundraising and marketing initiatives as well as day-to-day legal matters for Blackstone Real Estate Income Trust (BREIT), an industry leading public, non-listed real estate investment trust.
The candidate will collaborate cross-functionally across Private Wealth and other Blackstone business units including with the Investment Teams, Operations, Institutional Client Solutions, Finance, Tax, Public Affairs, and other groups in the U.S., Europe, Latin America and Asia.
Primary job responsibilities will include:
Prepare and review public offering materials, including registration statements and prospectuses under the ’33 Act and private placement memoranda
Prepare and review ’34 Act filings including Forms 10-K, 10-Q, 8-K and Section 16 filings and manage the annual meeting proxy process
Liaise with management and outside counsel on all aspects of corporate governance, including board and committee meeting planning and preparation of meeting materials
Assist with private placement offerings for BREIT’s international and other fundraising efforts, including leading and managing legal workstreams for the structuring and launch of new initiatives and products
Interpret and apply regulations related to the operation, communications, marketing and offering of securities in the United States and abroad, including application of Regulation D, Regulation S and “world sky” laws
Assist with other day-to-day legal matters, including drafting and reviewing various commercial agreements
Oversee and manage junior team members and outside counsel in the execution of the above responsibilities
Qualifications:
7+ years of experience practicing law as a law firm associate or in-house counsel, focused on capital markets, public company advisory or similar.
Familiarity with the ‘33 Act (including exemptions) and ‘34 Act is required.
Knowledge of Advisers Act and/or 40 Act is preferred but not required.
Experience with 1031 exchanges, ERISA and/or private fund vehicles is helpful, but not required
Creative problem solver with a can-do attitude.
Interest in a dynamic and high growth environment.
Highly motivated, enthusiastic and proactive, with a demonstrated record of excellence in prior endeavors.
Exercise sound judgment in new situations and to independently manage projects to conclusion.

Expected annual base salary range:
$225,000 - $275,000Actual base salary within that range will be determined by several components including but not limited to the individual's experience, skills, qualifications and job location. For roles located outside of the US, please disregard the posted salary bands as these roles will follow a separate compensation process based on local market comparables.
Additional compensation and benefits offered in connection with the role consist of comprehensive health benefits, including but not limited to medical, dental, vision, and FSA benefits; paid time off; life insurance; 401(k) plan; and discretionary bonuses. Certain employees may also be eligible for equity and other incentive compensation at Blackstone’s sole discretion.
