As Legal & Compliance Counsel Global Commercial and Transactions you will be the strategic legal partner for global Sandoz legal & compliance function, supporting Sandoz business teams engaging in M&A and BD&L transactions, together with legal & compliance support for global commercial platforms. Responsible for providing end-to-end strategic legal & compliance support to drive sustainable growth at Sandoz, acting as autonomous legal & compliance lead for BD&L transactions, alliance management, commercial platforms, and supporting more senior counsels on highly complex M&A licensing transactions.

Your responsibilities will include:

• Key legal partner to the global M&A, divestment and BD&L teams, providing strategic legal advice to drive successful dealmaking and alliance management in the interests of Sandoz

• Key legal and compliance partner to the global commercial platforms, supporting compliant & strategic development, launch and lifecycle planning, commercialization, advertising & promotional review, supply and distribution arrangements, and other priority business initiatives

• Independently lead global transactions, bringing specific transactional legal expertise to drafting and negotiations and in the provision of practical, relevant legal advice

• Demonstrate agility in leading different types of transactions across diverse geographies and across different stages of transactions, from internal coordination on DD and structuring advice through to post-closing and integration/separation or alliance management matters, including efficiently managing disputes

• Lead negotiations and drafting with and without external counsel support, in close alignment with key business partners

• Assess, identify and communicate material risks and recommendations to mitigate in a pragmatic, business-orientated way and proactively implement solutions where appropriate

• Ensure a close coordination between Legal (in-house and external counsel) and key stakeholders, including collaborating with experts across all relevant functions as well with regions/countries to drive consistency and efficiency across Sandoz

• Coordinate legal and compliance support across global, regional and country teams and relevant subject-matter experts to deliver consistent, timely and practical legal & compliance advice on commercial models, market-entry plans, product claims and communications, interactions with third parties, competition-law considerations and other material risks affecting the supported commercial platforms.

• Promote effective governance, early Legal & Compliance engagement and disciplined escalation for global commercial platforms, anticipating emerging issues and helping business teams implement proportionate controls and risk-mitigation measures.

• Monitor and manage external counsel appropriately, properly allocating work between internal and external and actively managing legal spend

• Manage workload and prioritize appropriately with manager support, in close alignment with Sandoz’s risks and opportunities, including simplifying processes and practices where appropriate

• Pro-actively develop and roll out legal resources for transactions, including standardized template agreements, effective trainings and workshops, harmonization of standards and processes to enable simplification and optimise management of risk and resources

What you need to know about the Los Angeles Tech Scene

Los Angeles is a global leader in entertainment, so it’s no surprise that many of the biggest players in streaming, digital media and game development call the city home. But the city boasts plenty of non-entertainment innovation as well, with tech companies spanning verticals like AI, fintech, e-commerce and biotech. With major universities like Caltech, UCLA, USC and the nearby UC Irvine, the city has a steady supply of top-flight tech and engineering talent — not counting the graduates flocking to Los Angeles from across the world to enjoy its beaches, culture and year-round temperate climate.

Key Facts About Los Angeles Tech

  • Number of Tech Workers: 375,800; 5.5% of overall workforce (2024 CompTIA survey)
  • Major Tech Employers: Snap, Netflix, SpaceX, Disney, Google
  • Key Industries: Artificial intelligence, adtech, media, software, game development
  • Funding Landscape: $11.6 billion in venture capital funding in 2024 (Pitchbook)
  • Notable Investors: Strong Ventures, Fifth Wall, Upfront Ventures, Mucker Capital, Kittyhawk Ventures
  • Research Centers and Universities: California Institute of Technology, UCLA, University of Southern California, UC Irvine, Pepperdine, California Institute for Immunology and Immunotherapy, Center for Quantum Science and Engineering
