Job OverviewAs an Equity Analyst, Legal Operations at SimpleClosure, you’ll serve as the in-house expert on equity structures during the business shutdown process. You will analyze complex cap tables, interpret financing instruments, and calculate payout scenarios to ensure clients clearly understand the distribution of proceeds during dissolution. Beyond technical equity analysis, you’ll guide clients through sensitive and often emotional transitions with clarity, empathy, and professionalism.
ResponsibilitiesServe as the subject-matter expert for client equity structures, including complex cap tables, different security types (e.g., common stock, preferred stock, SAFEs, convertible notes, options), and waterfall calculations during the shutdown process.
Assist with the windup and dissolution phase of client engagements — such as vendor notifications, document collection, and customer support throughout the lifecycle.
Provide clear, accurate explanations of equity treatment and payout outcomes to clients, ensuring they understand calculations and next steps.
Collaborate closely with internal teams (Legal, Ops, Product) to ensure smooth operations and timely resolution of client issues.
Maintain organized and accurate records of dissolution activities, equity analyses, and client communications.
Support clients in gathering necessary documentation and validating shareholder, investment, and financing instrument data.
Capture, document, and optimize processes to enhance both operational efficiency and client satisfaction.
Utilize Slack, Google Suite, Notion, and other remote tools for efficient communication and documentation.
Proactively identify opportunities to improve workflows, especially around equity and cap table complexity.
Provide exceptional customer service, demonstrating empathy and professionalism in all client interactions.
2+ years of experience in equity operations, cap table management, venture finance, or legal/financial analysis.
Customer-facing experience, ideally in onboarding, client success, or operations where you’ve guided clients through complex processes.
Comfort reading and interpreting legal and financial documents (e.g., charters, SAFEs, convertible notes, option plans).
Strong quantitative and analytical skills — comfortable with detailed equity and waterfall calculations.
High attention to detail and accuracy in handling sensitive legal and financial data.
Excellent communication skills — able to simplify complex ownership and payout concepts for clients.
High digital literacy; comfortable using SaaS platforms, learning new tools quickly and using cap table management tools like Carta or Pulley
Ability to thrive in a fast-growing, fast-paced environment.
Proactive, adaptable mindset; willing to pitch in on both specialized equity work and general operations.
Compensation: $70,000 to $125,000
