Role Overview
The Director, Corporate Development & M&A will lead the end-to-end execution of the company’s M&A strategy, from deal origination through close and early integration. This is a senior, hands-on role that combines strategic judgment with strong transaction execution, comparable to a Director role in private equity or a lead corporate development role in a sponsor-backed operating company.
The role will serve as a trusted thought partner to executive leadership, owning deal strategy, financial rigor, and investment narratives presented to the executive team and Board. Transactions will typically range from $50–150M in revenue and $10–30M in EBITDA, across services-led, product resale, and hybrid business models.
This role reports to the SVP of Operations and works closely with Finance, Legal, HR, IT, Operations, and external advisors.
Key Responsibilities
M&A Strategy & Deal Leadership
- Own execution of the company’s M&A roadmap in alignment with corporate strategy
- Translate strategic priorities into clear acquisition theses and target profiles
- Lead end-to-end deal execution along with SVP Operations, including valuation, diligence, negotiation support, and closing
- Work with our PE investor TowerBrook in qualifying the deals and through the entire deal execution process.
- Act as the primary internal quarterback for all active transactions
Financial Analysis & Investment Rigor
- Oversee development and review of robust financial models, including:
- Historical performance and forecast modeling
- Synergy identification and realization planning
- Accretion/dilution, IRR, NPV, and downside scenario analysis
- Evaluate target economics, customer concentration, margin sustainability, scalability, and risk factors
- Ensure disciplined valuation frameworks using comps, precedents, and intrinsic methodologies
Diligence & Transaction Management
- Lead cross-functional diligence workstreams (Finance, Tax, Legal, HR, IT, Commercial)
- Manage external advisors (IBs, QoE providers, legal counsel, tax advisors)
- Synthesize diligence findings into clear risk-reward narratives and mitigation plans
- Support LOI development, purchase agreement negotiations, and closing processes
Executive & Board Engagement
- Prepare and present investment committee and Board materials
- Provide clear and concise deal recommendations with defensible assumptions
- Serve as a trusted advisor to executive leadership on deal risks, structure, and value creation levers
Integration & Value Creation (Early Phase)
- Partner with functional leaders to ensure smooth handoff from deal close to integration
- Support development of integration priorities tied to deal thesis and synergy realization
- Track post-close performance against underwriting assumptions
Pipeline & Market Intelligence
- Oversee deal sourcing efforts, including banker relationships, target mapping, and inbound screening
- Maintain a high-quality acquisition pipeline and market intelligence
- Monitor industry trends, competitive dynamics, and valuation environments
Qualifications & Experience (Required)
- 8–12+ years of experience in private equity, investment banking, corporate development, or transaction advisory
- Proven experience leading middle-market M&A transactions end-to-end
- Deep financial modeling, valuation, and diligence expertise
- Strong executive presence with experience presenting to senior leadership and boards
- Ability to manage multiple complex workstreams in a fast-paced environment
- High ownership mindset with sound judgment and attention to detail

- Experience with technology services, IT services, distribution, or reseller business models
- Background in sponsor-backed or acquisitive growth environments
- Exposure to integration planning and post-close performance tracking
- MBA, CFA, or equivalent experience preferred but not required
