Responsibilities:

  • Create a compliant legal system suitable for a public company
  • Responsible for reviewing all contracts including supply chain, etc. 
  • Lead capital related legal activities including merger and acquisition, legal negotiations and document drafting
  • Respond to other public company compliance requirements and litigation matters
  • Manage other legal functions that support corporate internal operation including IP, labor and others
  • Develop and implement a comprehensive program for legal and ethical compliance that meets all applicable legal requirements and industry standards
  • Implement and manage compliance policies, protocols, and training
  • Audit company procedures, policies, and practices to identify potential risks
  • Investigate allegations of legal and ethical compliance violations 
  • Develop and implement risk-based action plans in connection with internal audits and investigations
  • Coordinate with regulatory and government officials at various levels and respond to inquiries
  • Manage government reporting on various compliance matters
  • Counsel company management on legal and ethical compliance laws, regulations, and requirements
  • Develop and implement training regimens for compliance topics
  • Work seamlessly and collaboratively within the legal team and as a legal business partner to multiple internal business stakeholders
  • Manage external legal resources to insure appropriate coordination and management of costs

Professional skillset requirements:

  • Public company experience
  • Experience in Corporate and Securities law
  • Experience with contract law including leading negotiations, overseeing purchase contracts and capital transactions
  • Experience in labor law
  • Experience in managing investigations and litigation is a plus

Industry Experience:

  • Minimum of 10 years of in-house corporate legal counsel, law firm experience is a plus
  • Must be able to combine legal and business perspectives to support optimal decision-making processes

Education:

  • Law degree (J.D.) from ABA-accredited institution
  • Eligible to practice law in California (either as in-house counsel or admission to State Bar)

Annual Salary Range:

($190,000 - $250,000 DOE), plus benefits and incentive plans
