RSM US, LLP is currently seeking a Principal to add to our Deal Services team within the M&A Integration and Separation Advisory practice. The ideal candidate will have held a senior-level mergers and acquisitions leadership positions at a Big 4 Consulting firm or a highly recognized, similar scale, national consulting firm.  The candidate must have proven track record of performance within a M&A team on an ongoing basis for the past 10-12 years, and must have proven skills with integrations, separations and/or restructuring.  The ideal candidate would have a significant depth of experience, an established network of contacts in private equity, and mid-market companies with operations in multiple countries.  


You will work with our clients and existing team to lead integration and/or separation efforts from planning through execution, coordinating a team of professionals and services across all RSM practices. You will take the lead in developing and growing a client network via your business acumen, personal network, and complex delivery skills.  This position will be directly involved with relationship management, supervision of multiple engagements, onsite client projects and development of the Deal Services/Integration and Separation Advisory services including demonstrating RSM capabilities related to all aspects of the transaction lifecycle as well as a growth path to further Leadership opportunities within our Practice and Firm. 


Responsibilities: 


  • Join and support the growth and maturation of a practice with a team of high performing professionals from diverse backgrounds as we develop them into a high performing team.  
  • Work with and continually support the evolution of methodologies, tools, approaches, points of view, and thought leadership to support full-service M&A offering. 
  • Maintain a proven track record of ability to develop business through internal and external channels, sell services from across diverse firm offerings, and develop trust across ad diverse set of clients.  
  • Develop and grow a network of business connections inside and outside the firm to support and encourage practice and firm strategic objectives. 
  • Develop and lead director and manager level engagement leaders in integration and separation engagements with the ability to create value using management consulting thought patterns and design tools to craft valuable client outcomes. 
  • Demonstrate the characteristics of a trusted advisor to internal and external clients and provide direction for the support of larger business objectives.  
  • Lead client workshops and for private equity and strategic corporate buyers to validate deal thesis, investment objectives, and hold time objectives, so that activities support client goals. 
  • Sell and structure engagements for pre-close planning, post close planning, day 1 operation support, with the correct approach, staffing, and engage subject matter professionals to meet specialist requirements on both buyside and sell-side transactions.  
  • Provide management advice across a range of functional areas of the business based on the scope of the engagement, industry, and complexity of the transaction, based on extensive previous experience. 
  • Demonstrate leadership and the drive to take delivery to the next level with data, insights, and thought leadership to captivate the team and develop next generation thinkers. 
  • Provide direction to client and engagement teams on TSA evaluation in the pre-close planning phase to identify the deal perimeter and where the gaps will appear when executing the transaction. Identify TSA or reverse TSA requirements, evaluate pricing, and structure services. Develop provide planning to close the gaps with new services, systems, people, process, or contracts to meet operational needs. Identify stranded costs for the sell side and manage the exit process for the client to preserve and enhance value. 
  • Provide support to the client management and engagement team for synergy assessment in the pre-close planning phase and synergy management to realization in the post-close phase of the engagement to support full value capture and enhancement through value engineering, cost management, and opportunistic growth potential. 
  • Work closely with complex delivery lead directors and teams to support the sales cycle and manage the engagements in a profitable and businesslike manner. 
  • Work with ISA and Deal Services leadership to develop and deliver on the firm and practice level strategy on an annual basis.  

Basic Qualifications: 


  • 10-12+ years of M&A and/or experience focused on mergers, acquisitions, separations or value creation within a professional services firm environment, providing technical advice across all functions of business and execution in complex transaction project engagements 
  • Broad expertise including working knowledge of middle market business (private equity, privately held or publicly traded), working with corporate development officers in addition to private equity a plus 
  • Experience across a range of industries is highly desired, industry alignment to PE would be a plus, must be conversant in a range of business operational models  
  • Preferred experience in TMT, Life Sciences and/or other demonstrated industry depth (e.g., financial services, healthcare, etc.)  
  • Strong understanding of complex program management and leadership  
  • Ability to travel 3-4 days per week for 40-45 weeks of the year. 
  • Focus on building diverse high performing teams with a wide range of experiences and backgrounds to build the team dynamics and thought leadership. 
  • Strong demonstrable skills in process and operating model development to support current and future state business operations  
  • Strong financial capability to manage the financial outcomes from engagements 
  • Strong communication, presentation, project management, and business  
  • Strong writing, research and analytical skills  
  • Strong self-motivation with the ability to work in a dynamic, time-sensitive environment with varying deliverables and changing requirements 
  • Strong technical facilitation, analytical and report writing skills 
  • Bachelor's degree required; MBA or Master’s in business or a technical field is a plus
