Your role at Clorox:
The Corporate Paralegal is an integral part of our Legal team, primarily providing support with a public company and M&A documentation and processing. The successful individual will work with our in-house attorneys, as well as other paralegals, other members of the legal team and cross-functional stakeholders to coordinate and gather information.In this role, you will:
- Coordinate and manage processes related to SEC filings and public company disclosures (e.g., Forms 8-K, 10-Q, 10-K, proxy statements), in partnership with internal legal counsel and external advisors.
- Draft and file Section 16 filings and coordinate and manage processes around executive officer and director stock ownership, stock plan administration, and insider trading compliance program.
- Assist with other securities and NYSE requirements, including annual shareholder meeting processes.
- Own and continuously improve operational workflows for securities compliance, ensuring accuracy, timeliness, and alignment with regulatory requirements.
- Lead operational support for M&A transactions, including managing internal NDAs, due diligence workflows, closing checklists, and post-closing documentation tracking.
- Develop and manage repeatable processes for M&A-related activities, ensuring consistency, compliance, and efficiency across transactions.
- Help establish and implement best practices for corporate legal and cross-functional teams.
- Manage corporate records, including preparation of management-level committee meeting materials and minutes.
- Contribute to special projects and cross-functional initiatives as needed.
What we look for:
- Bachelor’s degree and paralegal certificate from an ABA-approved program preferred.
- 3+ years as a corporate paralegal with public company experience.
- Strong understanding of public company operations and securities compliance processes. Familiarity with M&A/transaction support preferred.
- Proven ability to create, manage, and improve operational processes.
- Excellent organizational and project management skills with high attention to detail and ability to manage multiple priorities under tight deadlines.
- Strong written and verbal communication skills.
- Tech-savvy; proficient with all standard office software tools (Office 365, Adobe) and excited to become an expert in new tools and technologies.
- Discretion in handling sensitive and confidential information.
- Self-starter who is not afraid to exercise judgment in ambiguous situations.

Based on the breadth of our ranges, most new hires will start at Clorox in the first half of the applicable range. Your starting pay will depend on job-related factors, including relevant skills, knowledge, experience and location. The applicable salary range for every role in the U.S. is based on your work location and is aligned to one of three zones according to the cost of labor in your area.
–Zone A: $88,700 - $165,900
–Zone B: $81,300 - $152,100
–Zone C: $73,900 - $138,300

This job is also eligible for participation in Clorox’s incentive plans, subject to the terms of the applicable plan documents and policies.
